Health Department ratifies the extinction of the Fidap health research Foundation
Por FactBox Admin

The Department of Health (Consellería de Sanidade) has ratified the agreement for the extinction of the Foundation for Research and Development of Primary Care (Fidap) and ordered its registration in the Registry of Foundations of Galician Interest. The decision is formalized in the Order of September 29, 2026, published in the Official Gazette of Galicia (DOG) no. 192, of October 8, 2026, in section III, Other provisions, between pages 51838 and 51840 (official reference: CVE-DOG: x6t997y9-rjk2-znf1-onv0-lutkmv5vw8k8).
The foundation was attached to the protectorate of the Department of Health, the competent body to resolve the request in accordance with Decree 144/2024, of May 20, which establishes the organic structure of the department, in relation to article 7.2.b) of Decree 15/2009, of January 21, which approves the Regulation of the Registry of Foundations of Galician Interest.
The request for ratification and subsequent registration was submitted to the protectorate on September 9, 2026, after the board of trustees adopted the extinction agreement at the meeting on November 4, 2025. The invoked norm is article 44 of Law 12/2006, of December 1, on foundations of Galician interest, which considers the impossibility of achieving the foundational purpose as a cause for extinction and requires a favorable agreement from the board of trustees ratified by the protectorate.
An entity created in 1999 to research primary care
The Fidap Foundation was constituted by public deed granted before the notary of A Coruña Francisco Manuel López Sánchez on March 15, 1999, under number 708 of his protocol. The following appear as founders:
- Antonio Asensi Pernas
- María Luisa Zapata Medí
- Isidro López Rodríguez
- José Antonio Méndez Fernández
- Isidro Luis Álvarez Lloren
- Miguel Sánchez de Enciso Ruiz
- María del Pilar Rodríguez Ledo
- Áurea Mejuto Rodríguez
The statutes were modified by an amendment deed on April 26, 1999, before the same notary, under protocol number 1,130. According to article 6 of the statutes, the entity’s objective was to “promote research in primary care and encourage the training of all those who work at this level, especially the group working in primary care,” as well as the study of management forms and the effectiveness of care at that primary level.
The Order of the Ministry of the Presidency and Public Administration of June 1, 1999, published in DOG no. 116, of July 18, classified the foundation as being of health interest and assigned it to the Ministry of Health and Social Services, which fully exercises the protectorate. It was registered in the corresponding section of the Registry of Foundations of Galician Interest under number 1999/00014. Shortly thereafter, the Order of the Ministry of Health of June 21, 1999, published in DOG no. 143, of July 27, declared it to be of Galician interest and ordered its registry registration.
Extinction due to impossibility of fulfilling the purposes
The proceedings are conducted under article 44.1.c) of Law 12/2006, which includes the impossibility of achieving the foundational purpose among the causes for extinction. The statutes, in article 35, grant the board of trustees the power to adopt the agreement, which in this case was approved unanimously.
Along with the application, the foundation provided the notarial deed granted in Lugo on September 2, 2026, under protocol number 2,476, through which the extinction and liquidation agreements adopted on November 4, 2025, are made public. It also presented the certification of the board of trustees meeting of August 18, 2026, stating the approval of the agreement, and a justifying report of the same date regarding the occurrence of the cause for extinction and the impropriety or impossibility of modifying the statutes or undertaking a merger process.
No assets to liquidate
The report indicates the absence of assets, rights, or remnants derived from the extinction, as no assets susceptible to liquidation are recorded. The project for the distribution of assets and rights resulting from the liquidation is, therefore, non-existent, since the foundation spent all its resources on the performance of activities in fulfillment of its purposes.
The resolution recalls that article 54 of Law 12/2006 and article 21 of Decree 15/2009 include the extinction agreement among the acts subject to registration in the Registry of Foundations. The order was signed in Santiago de Compostela on September 29, 2026, by the technical general secretary of the Ministry of Health, Natalia Lobato Mosquera, by delegation (Order of 22.4.2020; DOG no. 82, of April 29).
Deadlines for appeal
Against the order, which exhausts administrative remedies, the following may be filed:
- Contentious-administrative appeal before the Contentious-Administrative Chamber of the High Court of Justice of Galicia, within a period of two months, pursuant to article 46.1 of Law 29/1998, of July 13.
- Appeal for reversal, on an optional and prior basis, before the same body that issued the act, within a period of one month, in accordance with article 124 of Law 39/2015, of October 1.
The extinction of Fidap closes a line of work dedicated to primary care research in Galicia, a field in which the foundation had operated as a reference entity since the late nineties. The disappearance of the entity without remaining assets implies that its resources have already been fully applied to the foundational purposes, so there will be no distribution of assets nor legal continuity of the foundation.
