Volkswagen notifies Brussels of plan for sole control of Europcar
Por FactBox Admin

The European Commission has been notified of plans by Volkswagen Aktiengesellschaft to take sole control of the car rental group Europcar Mobility Group S.A., ending the joint control the German carmaker currently shares with Gilpin Investments Designated Activity Company. The notification was received on 13 October 2026 under Article 4 of Council Regulation (EC) No 139/2004 and published in the Official Journal of the European Union of 22 October 2026 as case M.12258 – VOLKSWAGEN / EUROPCAR, a candidate for treatment under the simplified procedure. Interested third parties have ten days from publication to submit their observations.
The notice, carrying reference C/2026/5530 and marked as a text with EEA relevance, is the standard prior-notification announcement that opens the EU merger review clock. It records that the concentration would be accomplished by way of purchase of shares, and that Volkswagen would acquire sole control of the whole of Europcar within the meaning of Article 3(1)(b) of the Merger Regulation.
The legal framework is the EU merger regime set out in Council Regulation (EC) No 139/2004 (OJ L 24, 29.1.2004, p. 1), which requires concentrations with a Community dimension to be notified before implementation. The Commission states that, on preliminary examination, the notified transaction could fall within the scope of that regulation, while reserving its final decision on the point. The case is flagged as a candidate for the simplified treatment foreseen in the Commission Notice on a simplified treatment for certain concentrations (OJ C 160, 5.5.2023, p. 1).
The undertakings concerned
The notification identifies two parties:
- Volkswagen Aktiengesellschaft of Germany, the parent company of the Volkswagen group, known as the VW Group.
- Europcar Mobility Group S.A. of France, currently jointly controlled by the VW Group and Gilpin Investments Designated Activity Company of Ireland.
The transaction would move Europcar from joint to sole control, with Volkswagen acquiring the whole of the company rather than a partial interest.
A carmaker and a rental platform
The notice sets out the business activities of both sides, which sit at different points of the mobility chain:
- The VW Group is active worldwide in the development, manufacture, marketing and sale of passenger cars, light commercial vehicles, trucks, buses, coaches, chassis for buses and diesel engines, and motorbikes, in each case including spare parts and accessories; it is also active in vehicle distribution.
- Europcar is the parent of the Europcar group, which offers mobility solutions including a wide range of car rental, vans and, to a much more limited extent, truck rental and car-sharing; it is present worldwide with a focus on Europe.
Bringing the rental platform fully under the manufacturer would place a large European hire fleet inside the group that builds the vehicles.
Ten days to comment
The Commission invites interested third parties to submit possible observations on the proposed concentration. Submissions must reach the Commission not later than ten days following the date of publication, that is by 1 November 2026, and must always specify the case reference M.12258 – VOLKSWAGEN / EUROPCAR.
Observations may be sent by email to COMP-MERGER-REGISTRY@ec.europa.eu or by post to the European Commission, Directorate-General for Competition, Merger Registry, 1049 Bruxelles/Brussel, Belgium.
The publication matters beyond the parties themselves: it is the only window in which competitors, rental rivals, dealers, consumer bodies and national authorities can put evidence on the file before the Commission decides whether to clear the deal under the simplified track or open a deeper investigation. For the market, the notice confirms that the consolidation of car rental under a single manufacturer is now formally before the EU competition authority, with a decision on the simplified route still pending.
