The Municipal Council of San Miguel Norte approved in its entirety the bylaws and granted legal personality to the San Luis de la Reina Community Development Association, which may be abbreviated as ADESCOSALRE, according to Agreement Number Twenty-Two contained in Ordinary Minute No. Twenty-Eight dated September 1, 2026. The agreement and the 56 articles of the bylaws are published in the Official Gazette Volume No. 452 of September 23, 2026, under Registration No. F48211.
Approval of bylaws and granting of legal personality
The decision was adopted based on articles 118, 119, 120, and 121 of the Municipal Code, which empower the inhabitants of neighborhoods, colonies, cantons, and hamlets to establish community associations and stipulate that legal personality is granted by the respective Municipal Council. The Council verified that the bylaws contained the provisions required by article 120 and that they did not contradict the Constitution, current laws, ordinances, or applicable municipal regulations.
Agreement Number Twenty-Two provides, in six resolutive points:
- To approve in its entirety the 56 articles that make up the bylaws of the San Luis de la Reina Community Development Association, of the District of San Luis de la Reina, Municipality of San Miguel Norte, Department of San Miguel.
- To grant legal personality to the association, so that it may carry out its activities within the framework of its bylaws and the laws of the Republic.
- To order its registration in the corresponding registry maintained by the Municipality.
- To order the publication of the agreement and the bylaws in the Official Gazette, with the costs to be borne by the association.
- To instruct the competent municipal department to carry out the registration and filing procedures.
- To notify the members of the Board of Directors of the content of the agreement for the subsequent legal purposes.
The certification was issued by Licenciada Sandra Arely Márquez de Paíz, Municipal Secretary, on September 2, 2026, and the agreement appears signed by Architect Carlos Ernesto Méndez Luna, Municipal Mayor, along with the Syndic and the proprietary and alternate council members of the Council.
Nature, purposes, and governance structure
The bylaws define the association as an apolitical, non-profit, and non-religious entity of a democratic nature, with its legal domicile in the District of San Luis de la Reina. Its goals are framed within the local development plan approved by the Municipal Council, in areas such as organization, community training, health, improvement of basic infrastructure, housing, industry, labor, recreation, and education.
The governance of the association corresponds to the General Assembly, the highest authority composed of active members which meets ordinarily every three months, and to the Board of Directors, which meets every fifteen days. The leadership positions are Ad-Honorem and are distributed as follows:
- A president, a vice president, a secretary, and a pro-secretary.
- A treasurer and a pro-treasurer.
- A syndic, with judicial and extrajudicial representation of the association.
- Five members-at-large.
The directors are elected for a period of two years, with the possibility of reelection for one continuous period or two alternating periods. The bylaws also create a Vigilance Committee of three members, with auditing functions and access to books, invoices, and documents, empowered to receive complaints against the Board of Directors and convene extraordinary meetings.
Assets, oversight, and validity
The assets are composed of contributions from members, grants and extraordinary contributions, income from its own activities, real estate acquired under any title, and obtained financing. Funds must be deposited in a financial institution, in an account managed with the signatures of the treasurer, the syndic, and the president.
The Municipal Mayor’s Office of the District of San Luis de la Reina will audit the association’s operations at least once a year, or at any time at the request of the Vigilance Committee or at least five members. Dissolution requires an agreement from an extraordinary session of the General Assembly, with an absolute majority of two-thirds of the members, and the resulting remainder after canceling liabilities will be donated to the community.
The bylaws will enter into force eight days after their publication in the Official Gazette, in accordance with article 56 of the instrument itself.
The publication enables the San Luis de la Reina Community Development Association to manage, contract, and execute community projects before public and private, national and international organizations, and to administer its own resources subject to municipal oversight. Consequently, the inhabitants of the District of San Luis de la Reina now have a recognized legal entity to channel local development initiatives and access financing that requires legal personality.
