Por FactBox Admin

The company Rain Forest Water RFW, S. A. is transferring its bottled water business establishment to Distribuidora La Florida, S. A., a firm domiciled in the corporate building of Heineken Costa Rica. The agreement is detailed in a notice of sale of a business establishment published for the third consecutive time in La Gaceta No. 199 on Wednesday, October 21, 2026, under official reference IN202601133288, which opens a fifteen-day period for creditors to assert their rights.
The notice is processed in accordance with the procedure set forth in Articles 478 et seq. of the Commercial Code of Costa Rica and was authorized at the notary public office of Kattya Elena Ramírez Sibaja, in San José, on October 13, 2026, with instructions to be published three consecutive times. The first insertion appeared in La Gaceta No. 197 on Monday, October 19, 2026 (p. 87), the second in No. 198 on Tuesday, October 20 (p. 67), and the third in No. 199 on Wednesday, October 21 (p. 63), all in the notices section.
The parties and the object of the transfer
The duly authorized representatives of the two companies appeared before the notary and signed a purchase and sale agreement through which the sale, assignment, and transfer of the seller’s business establishment in favor of the buyer were agreed upon.

Conditions precedent and escrow agent
The purchase and sale will be formalized only if the conditions precedent stipulated in the contract are met, as warned by the notice itself. The payment of any legitimate debt, if applicable, will be made upon the closing of the transaction, according to the agreed terms and conditions.
The parties designated as escrow agent STCR COSTA RICA TRUST & ESCROW COMPANY LIMITED, S. A., corporate ID 3-101-328440, domiciled in San José, Escazú, San Rafael, Trejos Montealegre, 275 meters west of Walmart, STCR building, third floor.
Fifteen days for creditors
In accordance with Article 479 of the Commercial Code, creditors and interested parties of the selling company are summoned to appear within a term of fifteen days from the first publication of the notice, that is, from October 19, 2026, and assert their rights before the depository at the indicated address.
This process directly concerns suppliers, contractors, and personnel linked to the packaging line, who have this period to submit their claims before the closing of the operation. Any pending payment will be resolved, as applicable, at that time and before the depository designated by the parties.
The operation concentrates in Distribuidora La Florida, S. A. —a company that already operates from the corporate building of Heineken Costa Rica— the commercialization of the “Rain Forest Water” brand and its returnable jug line, whereby the seller’s bottled water business passes into the hands of a larger-scale beverage group. For readers linked to the sector, the practical key lies in the calendar: the fifteen-day period runs from the first publication and expires before the transfer is formalized.
