G-Port mortgages five Water Street lots to Demerara Bank

G-PORT Incorporated has created a first debenture in favour of Demerara Bank Limited charging five commercial lots on Water Street, Cummingsburg, in the city of Georgetown. The instrument, published as notice No. 3247 in The Official Gazette of Guyana No. 408/2026 of Saturday 24 October 2026 at pages 3410 to 3412, will be issued and registered seven days after publication under Section 233(1) of the Companies Act, 1991. The notice records that the debenture will not be secured by a separate mortgage or charge but will itself confer a First Fixed Charge ranking as a first mortgage on the properties described.

The mortgagor is G-PORT Incorporated, a company incorporated in Guyana under the Companies Act, 1991 with its registered office at Lot 24 Water Street, Cummingsburg, Georgetown. The debenture holder is Demerara Bank Limited, incorporated in Guyana under the Companies Act 1991 and with its registered address at 214 Camp Street, North Cummingsburg, Georgetown, Demerara. The gazette notice does not disclose the principal sum secured, the interest rate or the repayment schedule; it confines itself to the security package and the properties charged.

Five titles on Water Street

The schedule to the first debenture lists the following immovable properties, each with its buildings, erections and all future buildings erected during the life of the mortgage:

  • Sub-lot lettered “C” part of Mud or Water Lot numbered 8, Water Street, Cummingsburg, under Transport No. 1246A of 1995, received from Island Investment Company (Guyana) Limited, shown on a plan by E.S.E Parker dated 19 November 1942 and deposited in the Deeds Registry on 7 December 1942, the sub-lot being delineated on a 1957 plan by I.S. Mohamed deposited on 5 February 1966.
  • Mud or water lot numbered 9, Water Street, Cummingsburg, under Transport No. 1234 of 1994, also received from Island Investment Company (Guyana) Limited.
  • Mud or water lot number 10, Water Street, Cummingsburg, under Transport No. 285 of 1946, received from Wieting & Richter Ltd, save and except the machinery and the racks on which it stands.
  • The North Half of Water or Mud Lot number 11, Cummingsburg, under Transport No. 196 of 1911, received from Wieting & Richter Ltd.
  • The south half of Mud Lot number 11, Mud Lot number 12 and the water or mud lot in front of the concession or lot number 13, North Cummingsburg, under Transport No. 214 of 1910, received from Wieting & Richter Ltd.

A three-tier security package

Beyond the fixed first mortgage on the five lots, the debenture carries a second layer: a first fixed charge over all fixed assets and property of the company, present and future, including plant, machinery, equipment, vehicles, chattels and fixtures. That fixed charge expressly excludes stock-in-trade and the immovable property already subject to existing mortgages held by Republic Bank (Guyana) Limited.

A third layer, by way of a first floating charge, covers the whole of the undertaking and all other property, assets and rights of the company not effectively charged under the fixed charge, including stock-in-trade, book and other debts. The company is barred from creating any mortgage or charge in priority to or pari passu with the debenture, and may not encumber the mortgaged properties except for easements and rights of way granted in the ordinary course of business, utility servitudes, liens arising by operation of law and operational licences and permits.

Republic Bank mortgages carved out

The notice identifies three pre-existing securities that take precedence over the assets in question, all in favour of Republic Bank (Guyana) Limited:

  • Mortgage Deed No. 948 of 2022 (Commercial Registry Mtg #2507) over Lot numbered 48, also known as 89, Kingston, held under Transport No. 1937 of 2022.
  • Mortgage Deed No. 299 of 2023 (Commercial Registry Mtg #2531) over the East half of the West half of lot numbered 60, also known as 88C, Barrack Street, Kingston, and the West quarter of lot numbered 60, also known as 88D, Kingston, held under Transport No. 2097 of 2022.
  • Mortgage Deed No. 252 of 2025 (Commercial Registry Mtg #2712) over the same Barrack Street properties.

The notice further authorises any two directors of the company to execute the First Demand Debenture and all documents incidental to it, to affix the common seal and to deliver the instrument as the deed of the company. The execution date and the date of issue are left blank in the published notice, to be completed in 2026.

Encumbrance in the commercial core

The filing places a first-ranking mortgage across a contiguous block of Water Street holdings assembled over three decades from two of Georgetown’s historic estate and trading houses, Island Investment Company (Guyana) Limited and Wieting & Richter Ltd. It also shows the port operator layering bank debt above assets already pledged to Republic Bank (Guyana) Limited, and confirms that the securities registry route under Section 233(1) of the Companies Act, 1991 remains the standard public record of corporate borrowing. The same issue carries further debenture notices to Demerara Bank Limited by Royal Castle (Guyana) Inc. and Guyana Logistics & Support Services Inc., showing a clustered round of corporate refinancing registered in a single edition.
