Brussels reviews OTP Bank's bid for sole control of Baltic lender Luminor
Por FactBox Admin

The European Commission received on 18 September 2026 notification of a proposed concentration under which OTP Bank Nyrt. would acquire sole control of the whole of Luminor Holding AS, the Estonian parent company of the Baltic banking group ultimately controlled by private equity funds managed by Blackstone Inc. The prior notification, registered as case M.12586 – OTP BANK / LUMINOR HOLDING, was published in the Official Journal of the European Union, C series, of 30 September 2026 under reference C/2026/5031, and is a candidate for treatment under the simplified procedure.
The filing was made pursuant to Article 4 of Council Regulation (EC) No 139/2004 on the control of concentrations between undertakings, the Merger Regulation (OJ L 24, 29.1.2004, p. 1). The transaction would give OTP Bank sole control within the meaning of Article 3(1)(b) of that regulation, and is to be accomplished by way of purchase of shares. On preliminary examination, the Commission finds that the notified transaction could fall within the scope of the Merger Regulation, although the final decision on this point is reserved.
The acquirer: a Hungarian group with a wide regional footprint
OTP Bank is a publicly listed company offering a full range of banking services, including retail and corporate banking, financing, lending, deposits and payment services, as well as leasing, asset management, insurance and other related financial services.
Its activities span twelve markets:
- Hungary, its home market
- Albania, Slovenia, Bulgaria, Croatia and Serbia
- Ukraine, Russia, Montenegro and Moldova
- Uzbekistan
The target: Luminor, a three-country Baltic franchise
Luminor Holding is the parent company of a group of companies providing a broad range of retail and commercial banking services, as well as leasing, pension fund management and e-commerce payment services.
Its operations are concentrated in three member states:
- Estonia, where the holding company is established
- Latvia
- Lithuania
The seller side is Blackstone Inc., the United States private equity group whose managed funds ultimately control Luminor Holding.
Simplified procedure and the ten-day window for comments
Pursuant to the Commission Notice on a simplified treatment for certain concentrations under Council Regulation (EC) No 139/2004 (OJ C 160, 5.5.2023, p. 1), the case is a candidate for treatment under the procedure set out in that notice.
The Commission invites interested third parties to submit their possible observations on the proposed concentration. Observations must reach the Commission not later than 10 days following the date of publication, that is by 10 October 2026, and must always specify the reference M.12586 – OTP BANK / LUMINOR HOLDING.
Submissions may be sent by email to COMP-MERGER-REGISTRY@ec.europa.eu or by post to the European Commission, Directorate-General for Competition, Merger Registry, 1049 Bruxelles/Brussel, Belgium.
The notification opens the formal phase of a deal that would redraw retail banking competition across Estonia, Latvia and Lithuania, where Luminor is one of the largest domestic lenders. For customers, staff and rival banks in the three Baltic states, the outcome of case M.12586 will determine whether a Hungarian group with a twelve-country footprint takes over a franchise built by United States private equity money. The simplified-procedure route signals that the Commission currently sees no obvious competition concerns, but the ten-day comment window gives competitors, national authorities and consumer bodies their first formal chance to challenge that reading before any clearance decision is taken.
