Torredelcampo approves the new statutes of its municipal water company

The Torredelcampo City Council has finalized the modification of the statutes of the Empresa Municipal de Aguas de Torredelcampo S.L., the company that provides the drinking water supply, provision, and sanitation service in the municipality. The agreement of the Plenary dated July 22, 2026, was automatically finalized as no claims were filed during the 20-day public exhibition period. The full text is published in the Official Gazette of the Province of Jaén No. 184, dated September 22, 2026, pages 14079 to 14095 (reference 2026/4405).

The initial approval was published in the Official Gazette of the Province of Jaén No. 152, dated August 7, 2026, and the full text is now made public for general knowledge, in compliance with Article 70.2 of Law 7/1985, of April 2, Regulating the Bases of the Local Regime. The announcement is signed by the mayor-president, Javier Chica Jiménez, dated September 18, 2026.

The new statutes, consisting of 43 articles divided into six titles, regulate the operation of a fully public-capital company, whose sole shareholder is the Torredelcampo City Council. The regulation comes into force once the period provided for in Article 65.2 of the aforementioned Law 7/1985 has elapsed.

A municipal company as an in-house means of the City Council

The Empresa Municipal de Aguas de Torredelcampo S.L. is constituted as a limited liability company, of Spanish nationality and with share capital entirely under public ownership. Its purpose is the direct management of the municipal drinking water supply, provision, and sanitation service, with the following activities:

• Supply and provision of water for the municipality, using the resources, springs, facilities, distribution network, and concessions granted to the municipality.
• Administration of the service in all its phases, including the collection of fees and the tax for other services added to the water bill.
• Management and collection of the urban solid waste collection bills managed by the Torredelcampo City Council.
• Operation of the service, including the reading and installation of meters.
• Capture, lighting, damming, conduction, treatment, and storage of water.
• Evacuation of wastewater, sewerage, and other discharge systems.

The company shall have the status of a personified in-house means and technical service of the Torredelcampo City Council, in accordance with Article 32 of Law 9/2017, of November 8, on Public Sector Contracts. It must carry out more than 80 percent of its activity in the tasks entrusted to it by the City Council and may not participate in tenders called by it.

The share capital amounts to 3,006 euros, divided into three shares of 1,002 euros each, all of which are held by the City Council of Torredelcampo. The registered office is established at Plaza del Pueblo nº 11, the headquarters of the Municipal Corporation, and the company is constituted for an indefinite period.

General Meeting, Board of Directors, and Management

The bylaws establish three governing bodies:

• General Meeting: composed of all the councilors of the Plenary of the City Council of Torredelcampo, in accordance with article 38.4 of Law 5/2010, of June 11, on Local Autonomy of Andalusia. It meets ordinarily once a year, within the first semester.
• Board of Directors: the administration and representation body, with a minimum of three and a maximum of nine members, appointed by the General Meeting for four-year terms. The position is revocable, re-electable, and unpaid, without prejudice to attendance fees.
• Management: appointed and dismissed by the Board upon the proposal of the Presidency, with a voice but no vote. Selection shall be carried out through a public call.

The Presidency of the Board is held by the Mayoralty-Presidency of the City Council of Torredelcampo or the councilor to whom it is delegated. Board meetings shall be convened in writing with a minimum notice of 48 hours, and agreements shall be adopted by absolute majority, with the Presidency holding a casting vote in the event of a tie.

Income, Fees, and Economic Control

The company shall receive its income in accordance with the ordinances issued by the City Council of Torredelcampo, article 30 of Law 5/2010, and the rest of the applicable legislation. In particular, it shall charge users for public patrimonial services established by municipal ordinances, which may be managed and collected by the Autonomous Tax Management Body, as well as private prices.

The financial year coincides with the calendar year, from January 1 to December 31. Management must submit to the City Council, before September 15 of each year, the annual revenue and expenditure forecasts and the investment and financing plans; the annual accounts shall be submitted to the Corporation before May 1 of the following year. The Plenary may designate the persons in charge of the company’s efficiency control.

Entry into Force and Appeal

An administrative appeal may be filed against the approval agreement before the Chamber of the High Court of Justice of Andalusia within two months, counting from the day following the publication of the full text in the Official Gazette of the Province of Jaén, in accordance with articles 10.1.b) and 46 of Law 29/1998, of July 13.

The modification directly affects all residents of Torredelcampo, as it establishes the corporate framework under which water supply, sanitation, and the collection of water and waste disposal bills are managed, and refers the determination of the tariffs to be paid by users to the municipal ordinances.
