Seapeak Maritime Spain absorbe sus cuatro navieras de gas y las extingue

The sole shareholder of Seapeak Maritime Spain, S.L.U. approved on September 30, 2026, the merger by absorption of Naviera Seapeak Maritime Gas, S.L.U., Naviera Seapeak Maritime Gas II, S.L.U., Naviera Seapeak Maritime Gas III, S.L.U., and Naviera Seapeak Maritime Gas IV, S.L.U., which shall be extinguished. The operation is published in the Official Gazette of the Mercantile Registry (BORME) no. 205, dated October 23, 2026, Second Section, page 6945, with the official reference BORME-C-2026-5600.

The announcement is based on Article 10 of Royal Decree-Law 5/2023, of June 28, which transposes European directives regarding structural modifications of commercial companies. The regulation requires the publication of the agreed merger and guarantees access for shareholders and creditors to the process documentation.

A project deposited in September

The common merger project was formulated by the administrative bodies of the intervening companies on June 19, 2026. Its deposit was announced in BORME no. 179, dated September 16, 2026, page 43945, under reference BORME-B-2026-179-28, where the four gas subsidiaries were already listed as absorbed.

The absorbing company is Seapeak Maritime Spain, S.L.U., with registration data in the Mercantile Registry of Madrid (S 8, H M 335110). The absorbed companies are:

  • Naviera Seapeak Maritime Gas, S.L.U. (S 8, H M 162762).
  • Naviera Seapeak Maritime Gas II, S.L.U. (S 8, H M 257095).
  • Naviera Seapeak Maritime Gas III, S.L.U. (S 8, H M 261584).
  • Naviera Seapeak Maritime Gas IV, S.L.U. (S 8, H M 288591).

The announcement expressly states that the four absorbed companies are wholly owned by the absorbing company, therefore the operation is resolved within the group’s perimeter.

Block transfer and extinction without liquidation

The merger involves the integration of the absorbed companies into the absorbing company through the block transfer, by universal succession, of their assets. Consequently, the absorbed companies will be dissolved without liquidation, a circumstance that will lead to their extinction as commercial companies.

The practical effect is the concentration of the assets and liabilities of the four gas maritime transport companies, which until now operated as separate subsidiaries in Spain, into a single company.

Rights of shareholders and creditors

The announcement includes the right granted to the shareholders and creditors of each of the companies to be merged, pursuant to Article 10.1 of Royal Decree-Law 5/2023, to obtain:

  • The full text of the decisions adopted.
  • The merger balance sheets.

The notice was signed in Madrid on October 16, 2026, by Mr. Michel Christian Nielsen and Mr. Mark James Kremin, in their capacity as secretary and president, respectively, of the boards of directors of all the companies to be merged.

The publication occurs after, throughout October, the BORME registered the appointment of proxies in the five companies, with James David Alan and Carr Cassandra Martina as proxies in each of them.

The operation simplifies the corporate structure of the shipping group in Spain and reduces the number of legal entities dedicated to the maritime transport of gas from five to one. For creditors and counterparties, the change of ownership occurs by universal succession, without prior liquidation of the absorbed entities.
