PIB Group Iberia absorbs Vive Healthcare and consolidates its healthcare business

The insurance brokerage PIB Group Iberia Correduría de Seguros y Reaseguros, S.A.U. has absorbed the health firm Vive Healthcare, S.L.U., in an operation unanimously approved by the Sole Shareholder of the absorbing company on August 13, 2026. The merger is published in the Official Gazette of the Mercantile Registry (BORME) number 169, of September 2, 2026, page 6053, with the official reference BORME-C-2026-4849.

The operation is formalized under Article 10 of Royal Decree-Law 5/2023, of June 28, and entails the dissolution without liquidation of the absorbed company, with the transfer of all its assets, rights, and obligations to the absorbing company. Rights of partners and creditors

The announcement expressly recalls the rights held by the partners and creditors of the intervening companies:

• The right to obtain the full text of the decisions adopted and the merger balance sheet.
• The right of creditors to request from the Mercantile Registrar the appointment of an independent expert to issue a report on the adequacy of the guarantees.
• A period of 3 months from the publication of the merger agreement, in accordance with Article 13.1 of Royal Decree-Law 5/2023, of June 28.
