The SBS intervenes Financoop due to the total loss of its share capital

The Superintendency of Banking, Insurance and AFP (SBS) declared the submission to the intervention regime of the Cooperativa de Ahorro y Crédito Financoop Ltda. for being subject to the cause of total loss of social capital and the cooperative reserve, with a negative accounting equity of S/ 1,958,037.69 as of March 31, 2026. The decision is contained in SBS Resolution No. 02356-2026, dated September 24, 2026, published in the Official Gazette El Peruano on Saturday, September 26, 2026, in the Legal Norms section (pp. 59-61). The regulation also provides for the suspension of the cooperative’s operations and the convening of a General Assembly of delegates.

A Level 2 cooperative with negative equity

COOPAC Financoop is domiciled in the department of Lima, registered in Registry Entry No. 12245713 of the Registry of Legal Entities of the Lima Registry Office, and has appeared in the COOPAC Registry under No. 0011-REG.COOPAC-SBS since February 8, 2019. Based on the declared amount of assets, it was assigned Level 2 of the Modular Scheme, with the obligation to submit financial statements on a quarterly basis.

On August 24, 2026, the cooperative submitted its financial statements as of March 31, 2026, which reported the negative accounting equity of S/ 1,958,037.69. The deterioration originated from the accounting adjustment requested through Official Letter No. 30016-2026-SBS, notified on May 18, 2026, in which the provision for accounting sub-account 2702.02 “Provisions for litigation and lawsuits” was recognized for US$ 654,099.28, equivalent to S/ 2,283,460.59.

The strengthening plan that did not materialize

The SBS required the cooperative to prove the strengthening of its equity and the full replacement of the equity loss, with deadlines extended up to three times through official letters No. 38907-2026-SBS, No. 42505-2026-SBS, and No. 46062-2026-SBS, notified on June 24, July 9, and July 30, 2026.

On August 28, 2026, Financoop presented an Equity Strengthening Plan based on extraordinary contributions to the social capital for S/ 5,000,000.00, consisting of one contribution of S/ 3,000,000.00 and another of S/ 2,000,000.00, the receipt of which would occur no later than September 7, 2026. However, on September 7, the cooperative reported that it suspended the S/ 2,000,000.00 contribution and that the S/ 3,000,000.00 contribution remained subject to the materialization of a collection right; it requested an exceptional term of 30 business days, which was denied through Official Letter No. 59472-2026-SBS, notified on September 24, 2026.

Intervenors, suspension of operations, and prohibitions

The resolution appoints Silvia Patricia Claro Silvano (DNI No. 46673886) as the primary interventor, and July Jormerih Salguero Consuelo (DNI No. 73127926) as the alternate, with powers to determine the actual equity, sign the notice of meeting and quorum for the assembly, execute collections, enter into contracts, and carry out financial operations on behalf of the cooperative.

During the term of the regime, which will have a maximum duration of 45 calendar days, the following consequences apply:

  • The competence of the Assembly is limited exclusively to the matters set forth in Article 7 of the Special Regimes Regulations.
  • The suspension of the cooperative’s operations.
  • The determination of the actual equity in accordance with Article 5 of the aforementioned regulations.
  • The prohibition of initiating judicial or administrative proceedings for the collection of debts, pursuing the execution of judicial resolutions, establishing liens on its assets, making payments or advances on its behalf, and establishing precautionary measures against its assets.

General Intervention Assembly on September 30

The call for the General Intervention Assembly was published in the Official Gazette of El Peruano on September 26, 2026 (p. 12), with a registry of 73 eligible delegates. The meeting will take place on Wednesday, September 30, 2026, at 5:00 p.m. for the first call and at 6:00 p.m. for the second, with a 30-minute grace period.

The agenda comprises three points: reporting on the declaration of intervention and its effects, reporting on the maximum period available to the delegates to remedy the cause of intervention to the satisfaction of the SBS, and the signing of the assembly minutes. The quorum for the first call requires at least 50% of the accredited eligible delegates; for the second, the number of delegates present is sufficient. Documentation may be submitted to the email financoop@coopacenintervencion.pe or at the SBS filing office, located at Avenida 2 de Mayo No. 1511, San Isidro, Lima.

The intervention of Financoop directly affects its members and savers, whose operations are suspended while the interventors determine the entity’s actual equity. The measure is based on literal b of sub-paragraph 4-B.1 of paragraph 4-B of the Twenty-Fourth Final and Complementary Provision of the General Law of the Financial System and the Insurance System (Law No. 26702) and paragraph 2 of Article 2 of the Special Regimes Regulations, approved by SBS Resolution No. 5076-2018, and was signed by the superintendent Sergio Javier Espinosa Chiroque.
