Hoteles Ibicencos Reunidos se extingue y reparte su patrimonio entre cuatro sociedades

Hoteles Ibicencos Reunidos, S.A. will cease to exist. The Extraordinary and Universal General Meeting of the company, held on October 15, 2026, unanimously agreed to its total spin-off, which will be executed through dissolution without liquidation and the full transfer of its assets to four newly incorporated companies. The agreement is published in the Official Gazette of the Mercantile Registry (Boletín Oficial del Registro Mercantil) no. 212, dated November 4, 2026, Second Section (Announcements and legal notices), page 7194, with the official reference BORME-C-2026-5797.

Four beneficiaries for a single set of assets

The operation is based on the spin-off project signed on September 15, 2026, by the administration body of the spun-off company. The receiving entities, all newly created, are as follows:

  • Anajupau, S.L.
  • Embassy Gardens, S.L.
  • Dembassy, S.L.
  • Najupau, S.L.

The four will acquire by universal succession all rights and obligations that make up the assets of the spun-off entity, under the terms and conditions set forth in the aforementioned project. The company resulting from the spin-off retains no activity: Hoteles Ibicencos Reunidos, S.A. is extinguished.

The announcement appears in the company spin-off section of the gazette, although the publication does not detail the specific distribution of assets among each of the beneficiaries nor the asset value assigned to each company.

Proportional exchange and exemption from reports

The current partners of the spun-off entity will receive social shares of the four beneficiaries “in equal quantitative and qualitative proportion” to those they hold in Hoteles Ibicencos Reunidos, S.A., such that the shareholding is replicated in each of the new companies.

By virtue of Article 71 of Royal Decree-Law 5/2023, of June 28, the administrators’ report on the spin-off project, the independent experts’ report, and the spin-off balance sheet will not be necessary. Furthermore, since the agreement was adopted in a universal meeting and by the unanimity of all partners with voting rights, Article 9 of the same regulation exempts the requirement to previously publish or deposit the documents required by law.

The announcement states that the planned documentation has been made available to the partners, as well as the absence of employees in both the spun-off company and the beneficiaries. There are no, nor will there be in the new companies, special or privileged shares, industrial contributions, accessory benefits, or rights other than shares, and no advantages of any kind are attributed to the administrators or the experts.

One month for creditor opposition

Creditors of the participating companies may oppose the spin-off under the terms of Article 13 of Royal Decree-Law 5/2023, within a period of one month starting from the publication of the final spin-off announcement. Shareholders and creditors also have the right to obtain the full text of the adopted agreement and the presented balance sheet, documents which are available at the registered office of the entity.

The announcement was signed in Ibiza on October 27, 2026, by the sole administrator of the spun-off company, Francisco Javier Bermejo Campillo, who already appeared at the head of the company in the 2017 registry announcements and in his re-election registered in 2023 in the Mercantile Registry of Ibiza (sheet IB 12186). The company, also known by the acronym Hotirsa, had reduced its capital by 60,100 euros in 2017 through the amortization of treasury shares.

Impact on the Pitiusan tourism map

The disappearance of Hoteles Ibicencos Reunidos, S.A. entails the removal from the registry of a historic company in Ibiza’s hotel sector and its replacement by four independent asset vehicles, all under the same shareholding. The chosen formula—total spin-off with newly created beneficiary companies and proportional exchange—allows for the fragmentation of asset ownership without liquidating the parent company, a common move in family reorganization processes or in preparation for subsequent corporate operations. For shareholders, creditors, and sector workers, the practical key is the one-month opposition period that now opens, counted from the publication of this announcement in the Official Gazette of the Mercantile Registry.
