High Court sets 27 November hearing on State Street cross-border merger

The High Court of Ireland will hear on Friday, 27 November 2026 an application by State Street Custodial Services (Ireland) Limited for an order confirming its compliance with the pre-merger requirements governing a proposed cross-border merger with State Street Bank International GmbH. The application is brought under Regulation 39 of the European Union (Cross-Border Conversions, Mergers and Divisions) Regulations 2023, and is listed in the Commercial List under Record No. H. COS. 2026/336. The notice was published in Iris Oifigiúil No. 83 of 16 October 2026.

The application and the parties

The applicant is described in the notice as the “Transferor” and “Applicant”, and the counterparty to the transaction is State Street Bank International GmbH, identified as a limited liability German entity. The relief sought is an order under Regulation 39 confirming scrutiny of the applicant’s compliance with the pre-merger requirements contained in the Regulations in respect of the proposed merger.

The hearing will be conducted by the Commercial List of the High Court, sitting at the Four Courts, Inns Quay, Dublin 7, at 11.00 a.m. Irish time. The proceedings will take place in a hybrid fashion, with virtual meeting details available on request from the applicant’s solicitors.

Deadlines for interested parties

Any party wishing to support or oppose the making of an order at the hearing may take part, and the notice sets out a fixed timetable:

  • Notice of intention to appear must reach the solicitors for the applicant no later than 5:30 p.m. Irish time on Thursday, 19 November 2026.
  • Any affidavit in support of such an appearance must be filed with the Central Office of the High Court, and served on the solicitors for the applicant, by the same deadline of 5:30 p.m. on 19 November 2026.
  • An interested party may appear at the hearing in person or be represented by a solicitor or by counsel.
  • A copy of the Originating Notice of Motion and Grounding Affidavit may be obtained by contacting the solicitors for the applicant.
  • The proceedings are also listed in the Call Over Listing of the Commercial List on Friday, 20 November 2026 at 10.45 a.m. Irish time.

The applicant is represented by Arthur Cox LLP, Ten Earlsfort Terrace, Dublin 2, D02 T380, Ireland, with correspondence directed to Conall O’Shaughnessy at the firm’s email address and quoting reference COS/BP/ST412/010. The notice is dated 16 October 2026.

The case turns on a procedural but decisive step: the court’s confirmation that the Irish transferor has met the pre-merger requirements is what allows a cross-border merger to move forward under the 2023 Regulations. For counterparties, custodial clients and service providers with exposure to either entity, the 19 November cut-off is the operative date, since participation and affidavit evidence must be lodged before the hearing opens in the Four Courts on 27 November.
