Geodis RT Spain reduces its share capital by one million euros through the cancellation of shares.

The shareholders’ meeting of GEODIS RT SPAIN, S.A.U., the Spanish subsidiary of the French transport and logistics group GEODIS, agreed on 29 June 2026 to reduce its share capital by one million euros in order to return that amount to the sole shareholder. The transaction, published on Monday 17 August in the Official Gazette of the Mercantile Registry (issue number 157), has been formalised through the announcement of capital reduction registered under reference BORME-C-2026-4743.
Transaction and figures
The reduction will be carried out by cancelling 250,000 shares, each with a nominal value of 4 euros, amounting to a total of 1,000,000 euros. The repayment to the sole shareholder will coincide exactly with the total nominal value of the cancelled shares, that is, one million euros.

Legal basis and effective date
The transaction is based on Article 319 of the Spanish Capital Companies Act (LSC), which regulates capital reductions for the repayment of contributions to shareholders. The publication of the announcement in the Mercantile Registry is made in compliance with Article 334 of the same law, which establishes the duty to publish certain capital reduction resolutions. The effects of the reduction apply from the date of adoption of the resolution, 29 June 2026.

The announcement is signed by Julio Osle Dorremochea, joint managing director of the company, dated and placed at Oríz (Navarre), 29 June 2026. The publication appears in Section Two — Announcements and legal notices of the BORME, on page 5929, with announcement identifier A260035807-1.
Relevance of the transaction
GEODIS RT SPAIN, S.A.U. was incorporated in Navarre and operated under the name GEODIS BOURGEY MONTREUIL IBÉRICA SA until January 2019, when it changed its corporate name. The company is part of an extensive network of subsidiaries that the GEODIS group maintains in Spain — including GEODIS CL SPAIN, S.L.U., GEODIS FF SPAIN, S.L.U. and GEODIS IBERIA SOCIEDAD ANÓNIMA, among others — to manage the different branches of its logistics, road transport and supply chain services business. The return of one million euros to the sole shareholder constitutes a typical balance sheet rebalancing transaction in subsidiaries wholly owned by a multinational group, which recovers liquidity from a business unit without affecting its operational capacity.
