Finlight Energía Renovable absorbs twelve photovoltaic companies from the group

Finlight Energía Renovable absorbe doce sociedades fotovoltaicas del grupo

Finlight Energía Renovable, S.L.U. has agreed to the merger by absorption of twelve group companies, a consolidation operation of its photovoltaic business made public in the Official Gazette of the Mercantile Registry (BORME) number 179, dated September 16, 2026. The agreement was adopted on June 18, 2026, by the Sole Shareholder of all participating companies, based on the Common Merger Project of the same date, and is published in the Second Section, for announcements and legal notices, under reference BORME-C-2026-4995.

The operation is processed under the special merger regime provided for in articles 9, 53, and 56 of Royal Decree-Law 5/2023, of June 28 (RDLME), which regulates the mergers of wholly-owned companies. Since all absorbed companies are directly owned by the absorbing company or by its sole shareholder, approval of the merger by the absorbed companies was not necessary.

The twelve absorbed companies

The absorbing company integrates through universal succession all the rights and obligations of the twelve absorbed entities, which are dissolved without liquidation and transfer their assets as a whole. The absorbed companies are:

  • Finlight Corporate, S.L.U.
  • Quantica Yield, S.L.U., Quantica Yield Mulhacen, S.L.U., Quantica Yield Chullo, S.L.U., and Quantica Yield Magina, S.L.U.
  • Hanwha Energy Retail Investment Spain, S.L.U.
  • Hawk PV, S.L.U.
  • Desarrollos Quanticos, S.L.U., Desarrollos Quanticos Tiñosa, S.L.U., and Desarrollos Quanticos Torrecilla, S.L.U.
  • SOL-ON 1, S.L.U. and SOL-ON 2, S.L.U.

The merger is based on the Merger Balance Sheets closed as of December 31, 2025, and the absorbing company acquires through universal succession all the rights and obligations of the absorbed companies.

Simplified regime and creditors’ rights

As this is a special merger, the announcement states that the prior publication or filing of the Common Merger Project, the reports from administrators and experts, the capital increase of the absorbing company, and the approval by the general meeting of the absorbed companies are not required. It is further noted that none of the participating companies have employees, therefore the administrators’ report in the section dedicated to employees was also not necessary.

The shareholders, creditors, and employees of the absorbing company, as well as the creditors and employees of the absorbed companies, have the right to examine the full text of the agreements, the Common Merger Project, and the Merger Balance Sheets at the registered offices. Creditors whose credits arose prior to the announcement and have not yet matured may initiate the procedure provided for in article 13 of the RDLME within one month from the publication, if they are not satisfied with the guarantees offered.

Signature and scope of the operation

The announcement is signed in Madrid, June 18, 2026, by Mr. Mateo Andrada-Vanderwilde Benjumea, in his capacity as Chairman of the Board of Directors and CEO of the absorbing company and of Finlight Corporate, and as the natural person representative of Finlight Energía Renovable as the sole administrator of the remaining eleven absorbed companies.

The operation represents a significant concentration of the group’s photovoltaic business, grouping vehicles dedicated to solar projects and the commercialization of renewable energy under a single company. For investors and sector operators, the merger simplifies the corporate structure and concentrates risk and assets in a single entity, which reinforces the position of Finlight Energía Renovable as the head of the group’s renewable business.
