Dompe Inversiones se transforma y traslada su sede a Panamá

The company Dompe Inversiones, S.L.U., registered in the Mercantile Registry of Las Palmas, has decided to transfer its headquarters to the Republic of Panama through a cross-border transformation. The agreement was adopted by its sole shareholder on August 20, 2026, and is made public through the Official Gazette of the Mercantile Registry (BORME) number 173, dated September 8, 2026, in the section for announcements and legal notices.

The operation is supported by Royal Decree-Law 5/2023, of June 28, which transposes European Union directives regarding structural modifications of commercial companies. The announcement is published in accordance with Article 10 of said legal body, following the filing of the transformation project in the Mercantile Registry of Las Palmas.

A project developed during the summer

The transformation project was approved and signed on June 5, 2026, by the entity’s sole administrator, Andrés Ayoze Domínguez Pérez, and filed in the Mercantile Registry of Las Palmas on July 3, 2026, along with the announcement provided for in Article 89 of RDL 5/2023. The final agreement of the sole shareholder was formalized on August 20, and the announcement was signed in Las Palmas de Gran Canaria on September 4, 2026.

The company, with its registered office at Carretera del Rincón, had registered the appointment of Andrés Ángel Domínguez Santana as proxy in January 2026, within the framework of its activity under the Mercantile Registry of Las Palmas.

Conversion into a Panamanian corporation

The transformation, regulated in Article 121, paragraph 1, of RDL 5/2023, involves the conversion of the company into a capital company subject to the legislation of the Republic of Panama, under the legal form of a sociedad anónima (corporation). The process is carried out without the company being dissolved or liquidated, fully preserving its legal personality.

As it is a single-member company, the agreement was adopted directly by the sole shareholder; therefore, the right to alienate social shares provided for in Article 86 of RDL 5/2023 is not applicable.

Creditors’ rights and protection

In accordance with Article 10.1 of RDL 5/2023, any creditors of the company have the right to obtain the full text of the adopted agreement, the transformation project, and other attached documents, as well as to receive free copies of said documents upon request.

The protection regime established in Articles 13, 87, and 99 of RDL 5/2023, which guarantee protections for creditors and shareholders in cross-border structural modification processes, remains fully intact.
