Bodegas Riojanas convoca junta para el 27 de octubre y nombra auditor

The Board of Directors of Bodegas Riojanas, S.A. has called an Ordinary and Extraordinary General Shareholders’ Meeting for October 27, 2026, at 12:00 p.m., at calle de Almagro, 9, 28010 Madrid. The agenda includes the approval of the annual accounts for the 2025 financial year and the appointment of Ernst & Young, S.L. as the statutory auditor of the company and its consolidated group for the 2026, 2027, and 2028 financial years. The notice, agreed upon by the board in its session on September 18, 2026, is published in the Official Gazette of the Mercantile Registry (BORME) no. 184, dated September 23, 2026, under the official reference BORME-C-2026-5108.

Notice, venue, and second call

The announcement occupies the Second Section of the gazette, dedicated to announcements and legal notices, under the heading of meeting notices, on pages 6349 to 6356. The meeting is expected to be held on the first call on October 27, 2026, at 12:00 p.m.; if the legally required quorum is not reached, it will be held on the second call on October 28, 2026, at the same place and time.

The Board of Directors has decided to enable attendance via telemetric means, in accordance with Article 14 of the Bylaws, with a real-time connection to the meeting venue. The notice is signed in Madrid, on September 18, 2026, by the Chairman of the Board of Directors, Mr. Ricardo Arambarri Pérez.

2025 Accounts, auditor, and remuneration

The agenda, which is identical for both the ordinary and extraordinary meetings, is structured into four blocks:

  • Annual accounts, application of results, and corporate management: examination and approval of the individual annual accounts and the management report of Bodegas Riojanas, S.A. for the financial year ended December 31, 2025, proposal for the application of the 2025 results, annual accounts and management report of the consolidated group, and censure of the board’s corporate management.
  • Statutory auditor: appointment of Ernst & Young, S.L. as the statutory auditor for the 2026, 2027, and 2028 financial years, for both individual and consolidated accounts.
  • Remuneration: advisory vote on the 2025 Annual Remuneration Report for Directors and approval of the amendment to the Remuneration Policy for Directors.
  • Delegations: powers granted to the board to interpret, correct, supplement, execute, and develop the agreements, to formalize them into public instruments, and to register them.

Reform of bylaws and regulations

The third item submits to the board a partial amendment of the Bylaws affecting articles 3, 6, 8, 9, 12, 17, 19, 21, 22, 24, 26, 26 bis, and 31, with the introduction of a new 26 ter and the deletion of articles 27, 28, 29, 30, and 34. It is also proposed to modify articles 9 and 18 of the Regulations of the General Shareholders’ Meeting, and information is provided regarding the changes already adopted in the Regulations of the Board of Directors, which affect articles 11, 20, 22, 23, and 25.

Shareholders’ rights and remote attendance

Shareholders with at least 50 shares registered in the registry five days in advance shall have the right of attendance. Remote voting and proxy are accepted by postal mail to the registered office, at calle Cervantes, 9, 28014 Madrid, or by email to juntageneral@bodegasriojanas.com, and must be received 24 hours prior to the first call. Remote connection will be available between 10:00 and 12:00 hours on October 27, 2026, subject to notification of attendance before 24:00 hours on the previous day.

Shareholders representing at least 3% of the share capital may request a supplement to the agenda within five days following the publication of the call, and the board has requested the intervention of a notary to draw up the minutes, in accordance with article 203 of the Capital Companies Law and article 101 of Royal Decree 1784/1996, of July 19.

The appointment comes with the listed Riojan company submitting to its shareholders the renewal of the auditor for a three-year cycle and an extensive statutory reform, two decisions that directly affect the corporate governance and financial supervision of the group. For investors in the wine sector, the result of the vote on October 27 will mark the control and transparency framework of the company for the next three-year period.
