Bidebide Tolosa and Ikili Donostia split their hospitality services and create Ikili Taberna

The partners of Bidebide Tolosa, S.L. and Ikili Donostia, S.L. unanimously and universally approved, on September 4, 2026, the simultaneous execution of two partial spin-offs of their hospitality and catering branches, with the creation of the new company Ikili Taberna, S.L. The operation was made public in the Official Gazette of the Mercantile Registry (BORME) number 176, dated September 11, 2026, in the Second Section of announcements and legal notices (official reference BORME-C-2026-4952).

The announcement is published in compliance with Article 10 of Royal Decree-Law 5/2023, of June 28, which regulates the structural modifications of commercial companies (RDLME). The agreement was adopted in a universal and unanimous meeting, utilizing the simplified procedure of Article 71 of the same regulation; therefore, it was not necessary to previously publish the spin-off project nor the report from administrators or independent experts.

Two spin-offs in a single operation

The operation combines two simultaneous and successive partial spin-offs, in accordance with the common project signed by the administrative bodies on June 30, 2026:

• Spin-off 1: Bidebide Tolosa, S.L. (spun-off company) contributes to Ikili Donostia, S.L. (beneficiary company) the assets and liabilities related to its hospitality and catering activity, which constitute an autonomous and self-sufficient branch of activity.
• Spin-off 2: Ikili Donostia, S.L. (spun-off company) contributes as a block to the new Ikili Taberna, S.L. (newly created beneficiary company) the hospitality activity of the establishment open to the public in San Sebastián, at San Marcial Street number 7 ground floor, which acquires all rights and obligations of the spun-off assets by universal succession.

As a result of the operation, the beneficiary company of spin-off 1 (Ikili Donostia, S.L.) will modify its bylaws to adopt, for commercial reasons, the name Plazara Taberna, S.L.

Transfer of a 30-year municipal concession

A central element of the spin-off is the transfer of the public works concession contract for the implementation of restaurant-cafeteria services in Building 1-B of Euskal Herria Plaza, in Tolosa. The contract was signed on April 25, 2017, with the Tolosa City Council, according to the agreement adopted in the plenary session of March 28, 2017 (file B.10.13/2016/0006), for a period of 30 years, and is transferred in favor of the beneficiary company Ikili Donostia, S.L.

Rights of partners and creditors

The spin-off agreement contains the details of the asset and liability items transferred to the beneficiary companies. The shareholders and creditors of the participating companies may obtain the full text of the decisions adopted and the partial spin-off balance sheets at the registered office, and creditors have a period of one month from the publication of the agreement to exercise their right of protection, in accordance with articles 10 and 13 of Royal Decree-Law 5/2023.

The announcement was signed in Tolosa on September 5, 2026, by the joint administrators of both companies, Mr. Luis Enrique Niño Redondo and Ms. Miren Garbiñe Alquiza Leiceaga.

The operation reorganizes the family’s hospitality business in Gipuzkoa, concentrating the activity in Tolosa in Plazara Taberna, S.L. and creating an independent company for the San Sebastián establishment, with a direct impact on the management of a three-decade municipal concession in the heart of the town of Tolosa.
