Acierta Asistencia splits its Contact Center and Assistance lines into AssistOne

The sole shareholder of Acierta Asistencia, S.A.U. approved on October 19, 2026, the partial spin-off of the company through the bulk transfer and universal succession of the “Contact Center” and “Assistance” business lines in favor of the newly created company AssistOne Servicios Integrales, S.A.U. The agreement was made public in the Official Gazette of the Mercantile Registry (BORME) no. 202, of October 20, 2026, page 6854, second section (announcements and legal notices, “Company Spin-offs”), with the official reference BORME-C-2026-5523.

The operation is formalized under Book One of Royal Decree-Law 5/2023, of June 28 (RDLME), the regulation governing the structural modifications of commercial companies. The announcement identifies Acierta Asistencia, S.A.U. as the “Demerged Company” and AssistOne Servicios Integrales, S.A.U. as the “Beneficiary Company,” and specifies that the latter is a newly created company.

Bulk transfer of two autonomous economic units

The object of the segregation is the set of assets and liabilities that make up the “Contact Center” and “Assistance” business lines, which the announcement expressly describes as constituting autonomous economic units. The transfer is carried out in bulk and by universal succession, such that the beneficiary assumes ownership of the segregated patrimonial set.

The agreement was adopted under the terms of the partial spin-off project drafted and signed by the administration body of the Demerged Company on June 23, 2026, that is, four months before the decision of the sole shareholder.

Simplified regime for sole shareholder

The spin-off adheres to the simplified regime provided for in Articles 53 and 56 of the RDLME, by reference to its Article 63. The qualifying requirement is the shareholding structure: Helvetia Corporate Insurance & Services de Seguros y Reaseguros, S.A. —previously named Caja de Seguros Reunidos, Compañía de Seguros y Reaseguros, S.A. (Caser)— holds the entirety of the share capital of the Demerged Company and will also be the full holder of the capital of the Beneficiary Company.

That change of name of the parent company was registered on October 13, 2026, and published in the BORME of October 19, 2026 (reference BORME-A-2026-201-28, entry 463787), one day before the publication of the spin-off.

Rights of shareholders, creditors, and employees

The announcement details the catalog of rights available to the interested parties:

• Obtain the full text of the adopted agreement and the spin-off balance sheet.
• Examine at the registered office, at avenida de Burgos, number 109, 28050 Madrid, the partial spin-off project, the annual accounts and management reports for the last three financial years, and the corresponding audit reports.
• Receive the delivery or shipment of said documents free of charge.
• These rights may be exercised by the shareholders, the creditors, and the workers’ representatives or, where applicable, the workers of the Spun-off Company themselves.

The protection of creditors is governed by the provisions of Articles 13 and 14 of the RDLME. The announcement was signed in Madrid on October 19, 2026, by the Secretary of the Board of Directors of Acierta Asistencia, S.A.U., Francisco Javier Ortiz Cas, and bears the identifier A260044639-1.

The publication formalizes in the mercantile registry the separation of two service activities—telephone support and assistance—into an independent company under the same sole shareholder, Helvetia, without altering the control of the parent company.
