Ynfiniti Global Energy Services absorbs three companies in a multi-party merger.

Ynfiniti Global Energy Services, S.L.U. has absorbed three energy sector companies in a restructuring operation approved on 24 July 2026 by the sole partners of the four companies. The operation is made public in the Official Gazette of the Mercantile Registry (BORME) number 156, of 14 August 2026, through notice BORME-C-2026-4735, in compliance with article 10.1 of Royal Decree-Law 5/2023, of 28 June.

The publication responds to the legal obligation to give publicity to the merger decisions adopted unanimously and occurs at a time of concentration in the Spanish energy business. The notice, signed in Madrid on 24 July 2026, is subscribed by D. Francisco Javier Amelivia García, vice president of the absorbing company and of two of the absorbed companies and sole administrator of the third.

A double operation in a single act

According to the notice, the sole partners of Ynfiniti Global Energy Services, S.L.U., Helensburg, S.L.U., Energías Renovables y Desarrollos Alternativos, S.L.U. and Robur Group Iberia, S.L.U. approved the execution “in a single act and without interruption” of two simultaneous operations:

• reverse merger by absorption of Helensburg, S.L.U., as absorbed company, by Ynfiniti Global Energy Services, S.L.U., as absorbing company; and
• merger by absorption of Energías Renovables y Desarrollos Alternativos, S.L.U. and Robur Group Iberia, S.L.U., as absorbed companies, by the same absorbing company.

Companies involved

The company resulting from the concentration is Ynfiniti Global Energy Services, S.L.U., a single-member limited company that acts as the absorbing company in the two mergers. The absorbed companies are:

• Helensburg, S.L.U. (by means of a reverse merger by absorption);
• Robur Group Iberia, S.L.U.;
• Energías Renovables y Desarrollos Alternativos, S.L.U.

The operation is centred in Madrid, where the notice is signed; Ynfiniti Global Energy Services, S.L. is registered in the Mercantile Registry of Madrid (sheet M 384634), according to the registered acts published in BORME of 4 August 2026.

Creditor and workforce rights

Pursuant to article 10.1 of the Law on structural modifications of commercial companies (LME), the notice acknowledges the right of creditors and the workers’ representatives of the participating companies to obtain the full text of the decisions adopted and the merger balance sheets. Publication in BORME thus guarantees the transparency of the process and allows interested parties to learn the asset conditions of the integration before the merger takes full effect.

Relevance of the operation

The merger groups under a single head three companies in the energy and alternative project development sector, in a restructuring that strengthens the position of Ynfiniti Global Energy Services in the industry. For creditors, workers and market operators, the announcement in the official bulletin constitutes the formal guarantee of information and the starting point for the exercise of their rights.
