Wsenior absorbs five companies from the geriatric group and extinguishes them

Wsenior Asistencia Integral 3, S.L.U. absorbs five companies from the group dedicated to elderly care homes, including Residencia Castrillón, S.L.U. The sole shareholder of the intervening companies approved the operation on October 14, 2026, and the Official Gazette of the Mercantile Registry (BORME) publishes it this Wednesday, October 21, in issue number 203, second section, under reference BORME-C-2026-5549.

The announcement is based on Article 10.1 of Royal Decree-Law 5/2023, of June 28, which regulates the structural modifications of commercial companies (RDLME). The common merger project was formulated and signed by the joint administrators of the intervening companies on June 30, 2026, and the merger is executed in accordance with Articles 9, 53, and 56 of the RDLME. The publication is made in the mergers and acquisitions section of companies, on page 6887 of the gazette, with the identifier A260044428-1.

The affected perimeter is not new to the registry. Residencia Castrillón, S.L.U. is registered in the Mercantile Registry of Lleida (sheet L 9929) and declared its single-member status in January 2021, with Grupo Geriátrico Wsenior, S.L. as the sole shareholder, according to the announcement published in the BORME on January 14, 2021 (BORME-A-2021-8-25). Its proxies and its auditor—Grant Thornton SLP—were renewed in various registrations in 2025 and 2026, and its address for notification purposes is listed as Carrer de Jaume II, 55, Lleida (BORME-A-2025-241-25).

The five absorbed companies

All of them are extinguished and their assets pass to the absorbing company:

• Wsenior Asistencia Integral 1, S.L.U., registered in the Mercantile Registry of Madrid (sheet M 682912).
• Wsenior Asistencia Integral 4, S.L.U., sheet M 682915 of Madrid.
• Wsenior Asistencia Integral 5, S.L.U., sheet M 717139 of Madrid.
• Wsenior Renta, S.L.U., sheet M 661399 of Madrid, whose corporate purpose is the leasing, operation, and management of geriatric and elderly care homes (BORME-A-2024-34-28).
• Residencia Castrillón, S.L.U., sheet L 9929 of Lleida.

The absorbing company, Wsenior Asistencia Integral 3, S.L.U., maintains its registered office at calle Goya 24, sixth floor, Madrid, an address shared by several of the group’s companies following the registry changes of 2025.

Universal succession and extinction

As a result of the merger, the absorbing company will acquire by universal succession the assets of the five absorbed companies, which will be extinguished. The agreement was adopted by the sole shareholder of all intervening companies, such that the operation is resolved entirely within the group and does not require the participation of external shareholders.

The announcement was signed in Madrid on October 14, 2026, by the joint administrator of the absorbing and absorbed companies, Francisco Javier Romero Reina, who had already served as joint administrator of Residencia Castrillón, S.L.U. since December 2020 (BORME-A-2021-6-25).

Creditors’ Rights

The BORME expressly states the powers granted to the creditors of the participating companies:

• To obtain the full text of the adopted merger decisions.
• To obtain the duly audited merger balance sheet.
• To exercise the rights corresponding to them in accordance with articles 10, 13, and 14 of the RDLME.

The absorbing company retains the Madrid registration reference (sheet M 682914) and the group maintains its activity in the elderly care segment, with Residencia Castrillón as one of the companies integrated into the operation.

The concentration simplifies the corporate structure of the geriatric group and reduces the number of companies with their own legal personality within this perimeter from six to one. For families and center users, the merger does not alter the ultimate ownership of the services, but it does unify the equity liability into a single company, which is of particular interest to suppliers and creditors who maintained relationships with the now-extinguished subsidiaries.
