Vidrala inscribe una ampliación de capital liberada de 1,79 millones de euros

Vidrala, S.A. has registered in the Official Gazette of the Mercantile Registry a capital increase of 1,795,518.24 euros agreed upon under article 508 of the Capital Companies Act and not yet executed. The agreement is contained in the first section of BORME no. 209, dated October 29, 2026, with registration number 483359 (official reference BORME-A-2026-209-01). This is the fourth consecutive bonus issue that the Biscayan glass packaging company has registered in the registry on the same calendar date.

The registry entry is brief: under the heading of the province of Araba/Álava, it is stated that “the capital increase, without execution, is agreed upon in accordance with art. 508 of the LSC, in the amount of 1,795,518.24 euros”, with an agreement date of October 22, 2026 and registry data S 8, H VI 1551, I/A 239. Article 508 of the Capital Companies Act is the provision that supports capital increases charged to reserves, i.e., operations that do not require monetary contributions from the shareholders.

The details of the operation were published one day earlier, in BORME no. 208, dated October 28, 2026, second section of announcements and legal notices, with reference BORME-C-2026-5696. There, the company explains that it is executing the sixth agreement adopted by the Ordinary General Shareholders’ Meeting of April 29, 2026, through the issuance and circulation of 1,760,312 ordinary shares of the single class and series, for the purpose of assigning them free of charge to the shareholders.

One new share for every twenty old ones

The characteristics communicated by the company are as follows:

  • Nominal value of the newly issued shares: 1.02 euros each.
  • Type of issuance: at par, 1.02 euros per share.
  • Allocation proportion: one new share for every twenty old ones.
  • Bonus issue, without disbursement for the shareholder, charged to the voluntary reserve account, whose balance as of December 31, 2025, amounted to 163,951 thousand euros.
  • Base balance sheet of the operation: that of the financial year closed on December 31, 2025, audited by Ernst & Young, S.L. and approved by the meeting of April 29, 2026.
  • Representation: book-entry form, with Iberclear and its participating entities as those responsible for the accounting registry.
  • Free allocation rights transferable under the same conditions as the shares from which they derive.

The new shares will grant their holders, from the time of registration in the Iberclear accounting records, the same political and economic rights as the rest of the capital, including the right to dividends agreed upon after that date.

Fourteen days to exercise and jump to the market

The free allotment rights may be exercised during a period of fourteen calendar days starting from the day following the publication of the capital increase announcement in the BORME and on the company’s website, www.vidrala.com. The allotment will be processed through any entity adhered to Iberclear, which may apply commissions and expenses in accordance with the tariffs published and communicated to the National Securities Market Commission and the Bank of Spain.

If any shares remain unallotted, a deposit will be established and maintained for three years from the end of the allotment period; after this period, they may be sold for the account and risk of the interested parties, with the net amount deposited in the Bank of Spain or the General Deposit Fund. The company will also request the admission to trading of the new securities through the Stock Exchange Interconnection System on the Bilbao and Madrid Stock Exchanges, following the communication to the CNMV of the information required by Law 6/2023 on Securities Markets and by Regulation (EU) 2017/1129. The announcement is signed in Llodio, on October 26, 2026, by the secretary of the Board of Directors, José Ramón Berecíbar Mutiozábal.

Fourth consecutive fully paid-up increase

The company repeats the same scheme every financial year, with increasing amounts:

  • 2023 Financial Year: 1,567,064.76 euros, with a resulting registered capital of 32,908,377.30 euros.
  • 2024 Financial Year: 1,645,418.10 euros, agreement registered on November 25, 2024.
  • 2025 Financial Year: 1,710,017.76 euros, agreement registered on October 23, 2025.
  • 2026 Financial Year: 1,795,518.24 euros, agreement registered on October 22, 2026.

In the last three financial years, the registry entry records the agreement without execution, pending the accounting closure of the allotment period and the corresponding public deed.

For the investor, the operation is equivalent to remuneration in shares without cash outflow: the company capitalizes available reserves and shareholders receive securities proportional to their holding, so they are not diluted if they exercise their rights. The practical key lies in the fourteen-day calendar and in the fact that the new shares will only be traded after admission in Bilbao and Madrid, while the mercantile registry formally records the agreement under number 483359 in the bulletin of October 29, 2026.
