Vidrala amplía capital en 1,79 millones con acciones gratuitas para sus accionistas

Vidrala, S.A. is carrying out a bonus share issue of 1,795,518.24 euros through the issuance and circulation of 1,760,312 new ordinary shares charged to freely distributable reserves, which will be allocated free of charge to the company’s shareholders. The agreement, adopted by the Ordinary General Shareholders’ Meeting on April 29, 2026, is published in the Official Gazette of the Mercantile Registry (BORME) no. 208, dated October 28, 2026, in the Second Section of announcements and legal notices, pages 7062 to 7064, with the official reference BORME-C-2026-5696.

The operation was communicated to the market in compliance with Article 306 of Royal Legislative Decree 1/2010, of July 2, which approves the Revised Text of the Capital Companies Act. The announcement reports the execution of the sixth agreement of the aforementioned meeting and is signed in Llodio, on October 26, 2026, by the Secretary of the Board of Directors, José Ramón Berecíbar Mutiozábal.

One new share for every twenty old ones

The new shares belong to the company’s only class and series, have a nominal value of 1.02 euros each, and are issued at par. The entire issue will be allocated free of charge to shareholders in a proportion of one new share for every twenty old shares.

The rights to free allocation shall be transferable under the same conditions as the shares from which they derive. For these purposes, shareholders are considered to be all natural or legal persons who, at the end of the day immediately preceding the start of the allocation period, appear as holders in the accounting records of the entities adhered to Iberclear.

Fourteen calendar days and deposit of unallocated shares

The rights to free allocation may be exercised during a period of 14 calendar days starting from the day following the publication of the expansion announcement in the Official Gazette of the Mercantile Registry and on the company’s website, www.vidrala.com. The allocation may be processed through any entity participating in Iberclear, which may apply the commissions and expenses provided for in its tariffs, communicated to the National Securities Market Commission (CNMV) and the Bank of Spain.

Should there be any unallocated shares, a deposit will be established and maintained for three years from the end of the allocation period. After this period, the shares may be sold for the account and risk of the interested parties, and the net amount will be deposited in the Bank of Spain or the General Deposit Fund at the disposal of the holders.

Charge to reserves and stock market listing

The capital increase is bonus-based and does not entail any disbursement for the shareholder. It will be charged to the voluntary, freely disposable reserves account, the total amount of which as of December 31, 2025, amounted to 163,951 thousand euros. The balance sheet serving as the basis for the operation is that of the financial year closed on that same date, audited by Ernst & Young, S.L. and approved by the meeting on April 29, 2026. The costs of the initial registration in the Iberclear registries will be borne by Vidrala.

The new shares will be represented by book entries and will grant, from their registration, the same political and economic rights as the rest of the securities, including the right to dividends agreed upon subsequently. The company will request their admission to trading through the Stock Market Interconnection System on the Bilbao and Madrid Stock Exchanges. Furthermore, and in accordance with Law 6/2023, of March 17, on Securities Markets and Investment Services and Article 1.5.(g) of Regulation (EU) 2017/1129, an information document was issued, communicated to the National Securities Market Commission and available on the company’s website.

The operation rewards the shareholder without cash outflow and without economic dilution, as it is carried out against already allocated reserves, and strengthens the capital base of the listed company. For investors, the calendar is the critical piece of data: the period of 14 calendar days from the day following this publication in the Official Gazette of the Mercantile Registry marks the window to exercise or transfer the free allotment rights.
