Valoria Residuos reduce su capital a cero y lo amplía a 600.000 euros

The Cantabrian waste management company Valoria Residuos, S.L. has agreed to reduce its share capital to zero euros to offset losses and, simultaneously, increase it to 600,000 euros. The decision was adopted by the Extraordinary General Meeting held at the registered office on September 7, 2026, with the favorable vote of shareholders representing more than half of the share capital. The agreement is published in the Official Gazette of the Mercantile Registry (BORME) number 178, dated September 15, 2026, page 6208, with the official reference BORME-C-2026-4985.

The operation is carried out within the framework of the Capital Companies Act, which regulates both the reduction of capital to offset losses and the shareholders’ preferential subscription rights. The company, located at Antigua Carretera de Burgos, s/n (Nave Valoria), in Cacicedo de Camargo (Cantabria), combines both measures in a single agreement to clean up its balance sheet and attract new financing.

Reduction to zero and simultaneous increase

The reduction of the share capital to zero euros (€0.00) is carried out through the amortization of all existing shares, for the purpose of offsetting accumulated losses. In parallel, the capital is increased to 600,000.00 euros through the creation of 600,000 new shares, which are equal, cumulative, and indivisible, with a nominal value of one euro (€1.00) each, numbered consecutively from 1 to 600,000.

The effectiveness of the reduction is conditional upon the execution of the simultaneously agreed capital increase, such that both operations are executed jointly.

Preferential subscription right

Pursuant to Article 343.2 of the Capital Companies Act, shareholders are recognized as having the preferential subscription right to the new shares, in proportion to the shareholding they held in the share capital prior to the reduction. This right may be exercised within a period of one month from the publication of the announcement in the BORME, by means of written communication addressed to the administrative body at the registered office.

  • Form: written communication to the administrative body at the registered office.
  • Payment: full nominal value via monetary contribution to the bank account indicated by the company.

Subscription by Corporación de Reciclados Globales

Shares not subscribed by the partners within the specified period shall be assumed, once this period has ended, by Corporación de Reciclados Globales, S.L., through the offsetting of the liquid and enforceable credit it holds against Valoria Residuos, S.L., until the agreed capital increase in the amount of 600,000.00 euros is completed, if applicable. The announcement, signed in Camargo on September 10, 2026, by the sole administrator, José María Palacín Isabel, thus ensures that the expansion is fully covered.

The operation represents a significant financial cleanup for a company in the waste management sector in Cantabria, which is restructuring its capital to absorb losses and attract new resources. For current partners, the preferential subscription right within a period of one month is the means to maintain their shareholding in the company following the restructuring.
