Por FactBox Admin

The Court of First Instance of A Coruña, Commercial Section, Plaza number 2, has ordered via Decree 113/2026, dated September 28, 2026, the convening of the ordinary general shareholders’ meeting of Autos Paco, S.A., to be held on November 10, 2026, at 10:00 AM. The resolution is issued under the general meeting convening file 398/2026-M and is published in the Official Gazette of the Mercantile Registry number 195, dated October 8, 2026, with the official reference BORME-C-2026-5353.
The notice is signed in Narón, on October 1, 2026, by Francisco Candocia Acción, joint administrator of the company, with registered office at Carretera de Castilla, number 595, Narón (A Coruña). The company, with CIF A-15049661, is not convening by agreement of its administrative body, as had been customary, but in compliance with a judicial resolution, which places the meeting within the scope of judicial intervention in corporate governance.
A court-ordered convening
The announcement is based on the corporate bylaws and the consolidated text of the Capital Companies Act, and is issued “in accordance with what was agreed” by Decree 113/2026. The meeting will be held at the Notary Office of Juan de la Riva, at Estrada de Castela, 168-172, 1º, Narón (A Coruña).
The chairmanship and secretaryship are not predetermined by the administrative body: according to the judicial resolution, the president and secretary shall be those designated during the act itself and, in their absence, the oldest administrator in attendance shall act as president and the notary Juan de la Riva López-Riobóo shall act as secretary.
Agenda: accounts, management, and remuneration
The agenda comprises four points:
- First. Examination and approval, where applicable, of the annual accounts of Autos Paco, S.A. and the application of the result for the financial year ended December 31, 2025.
- Second. Examination and approval, where applicable, of the management and actions of the administrators during the same financial year.
- Third. Determination of the amount of remuneration for the administrators, in accordance with the bylaws and under Article 217 of the Capital Companies Act, for the 2025 financial year.
- Fourth. Delegation of powers for the elevation to public instrument, formalization, development, correction, and execution of the agreements adopted.
Notary, information, and attendance
The Court has agreed to require the presence of the notary Juan de la Riva López-Riobóo to attend the meeting and draw up a notarial act, pursuant to Article 203 of the Capital Companies Act. This is a precaution that reinforces the public faith of what is deliberated and agreed upon.
The announcement also recalls three rights of the shareholders:
- Right to information: all shareholders may examine and obtain, or request the free delivery or sending of, the documentation to be submitted to the meeting, pursuant to articles 197 and 272.2 of the Capital Companies Act.
- Notary assistance: the presence of a notary is agreed upon by judicial requirement, not by the decision of the administrator.
- Authorization to attend: the president may authorize the attendance of other persons in accordance with article 181 of the law, an authorization that the meeting itself may revoke.
The same court and the same administrator
The publication from this same Thursday includes a parallel case: Transportes Dopico Vilaboy, S.A., with CIF A-15027568, convenes its ordinary general meeting for the same November 10, 2026, at 10:30 hours, also at the Notary Office of Juan de la Riva and with an identical agenda. In that case, the notice derives from Decree 112/2026, of September 28, 2026, from the same court and location, in file 397/2026-M, and is likewise signed by Francisco Candocia Acción as joint administrator.
The corporate history shows a sequence of annual notices: the meeting of Autos Paco, S.A. met in December 2023, December 2024, and March 2025, and in February 2026, a new meeting was announced with the removal and appointment of a joint administrator among the agenda items. The current one is the first to be published by judicial mandate.
Impact for shareholders
The relevance of the announcement lies in the mechanism: when the administrative body fails to convene, the judge may substitute it and set the holding of the meeting, with a required notary and a fixed agenda. For the shareholders of Autos Paco, S.A., the decree guarantees that the 2025 accounts, the management of the administrators, and their remuneration are submitted to a vote on a certain date, with reinforced right to information and a notarial record.
