Trevenque Sistemas de Información absorbs NavegaGPS in a simplified merger

Trevenque Sistemas de Información S.L.U. has absorbed NavegaGPS S.L.U. through a merger by absorption under the simplified procedure of Royal Decree-Law 5/2023 (RDLME). The agreement was approved on July 31, 2026, by the general shareholders’ meetings of both companies, meeting in an extraordinary and universal capacity, and was made public in the Official Gazette of the Mercantile Registry (BORME) on Monday, August 31, 2026.

The operation, registered in the mergers and acquisitions section of the BORME, entails the dissolution without liquidation of the absorbed company and the acquisition of its assets by the absorbing company through universal succession, without a capital increase in the latter.

Regulatory Framework and Procedure

The merger is based on Article 10 of Royal Decree-Law 5/2023, of June 28, transposing European Union Directives regarding structural changes in commercial companies. The procedure follows the simplified route of Article 53.1 of the RDLME, as the absorbing company is the direct holder of all shares of the absorbed company.

Since the agreement was adopted in a universal meeting and unanimously by both companies, it was not necessary to previously publish or deposit the documents required by law, nor to prepare the administrators’ report on the project or the independent experts’ report.

Rights of Shareholders, Creditors, and Employees

Pursuant to Article 10.1 of the RDLME, the right of shareholders and creditors to obtain the full text of the adopted agreements and the merger balance sheets is hereby acknowledged. In parallel, on June 30, 2026, the administrative bodies of the intervening companies prepared and submitted the report containing the section intended for employees, in the form and within the period provided for in Article 5.6 of the RDLME.

The merger was formalized in Granada, with the announcement signed on August 10, 2026, and was signed by the joint administrator Buenaventura Porcel Jiménez. The announcement is published on page 6033 of BORME number 167, corresponding to August 31, 2026, with official reference BORME-C-2026-4831.

The integration of NavegaGPS into Trevenque Sistemas de Información consolidates both Granada-based technology companies, which will now operate under a single corporate structure. For the partners, creditors, and employees of the two companies, the operation entails the full transfer of the assets and obligations of the absorbed entity to the absorbing entity, which assumes the continuity of the activity without the need for prior liquidation.
