Tecnoariser changes its administration and moves to joint management

The company TECNOARISER SL has dismissed its sole administrator and appointed a joint administration, a governance change that affects the registered office and the company’s bylaws. The agreement, adopted by the board of the Zaragoza-based company, was recorded in the Official Gazette of the Mercantile Registry (BORME) number 170, published on September 3, 2026, under reference BORME-A-2026-170-50.

The operation was formalized on August 27, 2026, and was registered in the Mercantile Registry of Zaragoza. It represents a transition from a sole administrator model to a joint administration regime, in which management decisions require the joint action of both holders.

Dismissal and new administrative body

The governance change is materialized in two simultaneous movements regarding the company’s administrative body:

• Ángel Badía Ballarín is dismissed as sole administrator.
• Jarvam Tree SL and José Remírez de Ganuza Ros are appointed as joint administrators.

The registration, with registry data S 8, page Z 64520, entry I/A 2, expressly reflects the change of the administrative body from sole administrator to joint administrators.

Bylaw and address changes

The board modified Article 7 of the bylaws, relating to the appointment, duration, and non-compete prohibition of the administrators. The approved text allows both natural and legal persons to be appointed as administrators, with an indefinite term of office, and refers to the law for the remaining requirements, incompatibilities, and prohibitions applicable to the position.

In the same agreement, the company moved its registered office to calle Ajedrea 20, nave D32, of the Empresarium-La Cartuja industrial estate, in Zaragoza. The change of headquarters and administration regime are registered simultaneously in the registry.

Power of attorney and sole proprietorship

In subsequent registrations of the same file, TECNOARISER SL completed its corporate restructuring:

• Appointed María Jesús Pérez Esteban as proxy (entry I/A 3).
• Declared its status as a sole-shareholder company, with Jarvam Tree SL as the sole partner (entry I/A 4).

The declaration of sole proprietorship confirms that the company is under the control of a single entity, which is also part of the new joint administrative body.

The change in administration and address has direct implications for the company’s clients and suppliers, who must update their records and direct their communications to the new headquarters. The adoption of a joint regime strengthens control over management decisions and provides greater legal certainty to the company’s operations.
