Por FactBox Admin

The extraordinary general shareholders’ meeting of Talleres Indsur, S.A. will decide on November 18, 2026, whether to request a declaration of insolvency (bankruptcy) or, failing that, to approve an increase in the share capital. The notice is signed by the sole administrator, José Cantero Ortiz, and is published in the Official Gazette of the Mercantile Registry (BORME) no. 199, dated October 15, 2026, second section, page 6770, with the official reference BORME-C-2026-5460.
The announcement is included in the meeting notices section of the BORME, the official journal that publicizes legal notices and registrable acts of commercial companies. The company, domiciled in Los Barrios (Cádiz), will hold the meeting at the Notary’s Office of Ramón Corrales Andreu, located at Padre Dámaso nº 1, Edificio Jardín, 11370 Los Barrios (Cádiz), at 10:30 AM.
The notice complies with the Capital Companies Act. The sole administrator will require the presence of Ramón Corrales Andreu to draw up the notarial minutes of the meeting, in accordance with Article 203 of said law, and shareholders representing at least five percent of the share capital are reminded of their right to request the publication of a supplement to the notice under the legally established terms and deadlines.
Insolvency proceedings or capital increase
The first item on the agenda presents a significant corporate dilemma: the request for a declaration of insolvency and, failing that, the agreement to increase the company’s share capital. The alternative formulation positions the eventual increase as a recapitalization route only if the meeting does not support the opening of insolvency proceedings.
The full agenda submitted for voting is as follows:
- First: request for a declaration of insolvency and, failing that, agreement to increase the share capital.
- Second: removal or, where applicable, acknowledgment of the resignation of the current sole administrator, José Cantero Ortiz, and the appointment of a new sole administrator.
- Third: requests and questions.
- Fourth: delegation of powers for the formalization, execution, correction, public deed execution, and registration of the agreements adopted.
Change in sole administration
The second item on the agenda opens the door to a change in the administrative body, as it contemplates both the removal and the acknowledgment of the resignation of the current sole administrator, José Cantero Ortiz, and the appointment of a new sole administrator.
The registry records show a sole administration with recent changes. On June 23, 2026, the cessation of Francisco Javier Carrasco Arjona and the appointment of José Cantero Ortiz as sole administrator were registered, according to the announcement published in BORME no. 123, dated June 30, 2026, page 32245, reference 308374, with registry data S 8, H CA 2906, I/A 14. Previously, on September 2, 2024, the reelection of Francisco Javier Carrasco Arjona to the same position had been registered, in accordance with BORME no. 173, dated September 9, 2024, reference 386635.

Impact on Workers and Creditors
The vote on November 18, 2026, makes Talleres Indsur, S.A. a case to watch within the industrial fabric of the Campo de Gibraltar region. The alternative between insolvency proceedings and a capital increase reveals a financial tension that directly affects the workforce, suppliers, and the company’s creditors, while the change in sole administration adds uncertainty regarding the direction of the process. The publication in the BORME opens the period for shareholders to exercise their right to information before a meeting that could redefine the future of the company.
