Por FactBox Admin

Tagman Media Inc. will issue a first debenture in favour of Guyana Bank for Trade and Industry Limited, conferring a first fixed charge over the media company’s movable assets in Guyana. The notice was published in The Official Gazette of Guyana No. 383/2026 of Saturday 3rd October 2026, in the Miscellaneous section, as Notice No. 3094 at page 3286. The instrument is to be issued and registered seven days after the date of publication under Section 233(1) of the Companies Act, 1991.
The parties and the security granted
Tagman Media Inc. is described in the notice as a company incorporated in Guyana under the Companies Act, 1991, whose registered office is situate at Lot 215 Lamaha Street, in the City of Georgetown, in the County of Demerara, in the Republic of Guyana. The debenture holder is Guyana Bank for Trade and Industry Limited, a body incorporated in Guyana under the Companies Act, No. 29 of 1991, having its principal place of business at High and Young Streets, Kingston, Georgetown.
The notice states that the debenture will not be secured by a separate mortgage or charge, but will itself confer a first fixed charge ranking as a first mortgage on the movable assets of the company situate at Lot 215 Lamaha Street, or wheresoever in Guyana now held or at any time later acquired. The charge extends to:
- plant, machinery, vehicles, tools, computers and office and other equipment, both present and future;
- stocks, shares, bonds and securities of any kind whatsoever, whether marketable or otherwise, and loan capital;
- book and other debts, revenues and claims, present and future;
- negotiable and non-negotiable instruments, guarantees and indemnities;
- patents, trademarks, trade names, registered designs, copyrights and licences;
- proceeds of insurance policies, compensation payments and damages;
- uncalled capital, goodwill and stock-in-trade.
Seven days to registration
The notice fixes a seven-day window from publication before the debenture is duly issued and registered under Section 233(1) of the Companies Act, 1991. Publication was made on 3rd October 2026, so the registration period runs from that date. The same gazette carried a comparable notice, No. 3093, for Country Style Foods GY Incorporated in favour of Impact Venture Fund Inc., showing that debenture registrations are a routine feature of the paper’s Miscellaneous section.
A floating charge and a bar on competing security
Beyond the fixed charge, the notice records a first floating charge on all the business assets, property, undertaking and goodwill of the company, both present and future, including its uncalled capital, stock-in-trade, goods, wares, merchandise, machinery, motor vehicles, equipment, furniture, fixtures, fittings, utensils, tools, implements, book and other debts, goodwill, choses-in-action, trade names, trade rights, licences, liens and goods of every description brought into or taken into the business.
The notice adds a restriction on further borrowing: except with the written consent of the debenture holder, the company shall not be at liberty to create any mortgage or charge over the described movable and immovable property, whether in priority to, pari passu with, or otherwise subject to the debenture.
What the notice means
For readers, the entry is a public marker of a secured corporate-finance transaction in Guyana’s media sector. It gives creditors of Tagman Media Inc. formal notice that the company’s movable assets and its wider business undertaking now stand as security for Guyana Bank for Trade and Industry Limited, and it limits the company’s freedom to pledge the same property elsewhere without the bank’s written consent. Registration under Section 233(1) of the Companies Act, 1991 is what gives the charge its public effect against third parties.
