Statkraft takes sole control of the Galician wind farm Galicia Vento

Statkraft Spain S.L. becomes the sole administrator of Galicia Vento S.L. after the company dismissed its entire board of directors, chaired by Enerfin Sociedad de Energía S.L. The agreement is published in the Official Gazette of the Mercantile Registry (BORME) number 188, dated September 29, 2026, with the official reference BORME-A-2026-188-27 and registration data S 8, H LU 7811, I/A 65, registered on September 22, 2026.

The announcement appears in the First Section (Entrepreneurs, registered acts) of the Lugo registry and records, in a single entry, the dismissal of the president and the four directors and the appointment of the Spanish subsidiary of the Norwegian group as sole administrator. The “Other concepts” section further specifies the change in the administrative body, which changes from a board of directors to a sole administrator, a formula that concentrates the representation of the company in a single holder.

The positions terminated in registration I/A 65 are as follows:

• President: Enerfin Sociedad de Energía S.L.
• Directors: Enerfin Sociedad de Energía S.L., Minicentrales Bouza Vella S.L., Enerfin Enervento S.L. and Statkraft Spain S.L.
• Appointed sole administrator: Statkraft Spain S.L.

A staggered transition since August

The handover was not an isolated move. The sequence published in the BORME shows a progressive entry of Statkraft Spain S.L. into the governing body of the wind power company:

• August 31, 2026 (BORME no. 167, p. 41816): dismissal of director Rafael Llorente Castro and appointment of Statkraft Spain S.L. as director, registration I/A 60 of August 21, 2026.
• September 14, 2026 (BORME no. 177): declaration of single-member status of Galicia Vento S.L., with Enerfin Enervento S.L. as the sole shareholder, registration I/A 63 of September 4, 2026.
• September 29, 2026 (BORME no. 188, p. 45660): dismissal of the entire board and appointment of Statkraft Spain S.L. as sole administrator, registration I/A 65 of September 22, 2026.

Proxies and corporate purpose

The same page of the gazette contains a second registration of the company, I/A 64 of September 22, 2026, by which Rafael Llorente Castro, Vázquez Moure Manuel, and Raúl Jimeno García are appointed as joint proxies. Weeks earlier, on September 1, 2026 (BORME no. 168, p. 41994), the appointment of Fernando López Carballo as proxy (I/A 61) and a series of revocations and appointments (I/A 62) affecting Juan Landecho Zuazola, Castellanos Ybarra Alfonso, Santiago Mayner Oyarbide, Alberto Sánchez Fernández, Wenceslao Gómez Mariño, Elena Díaz Pindado, and De la Revilla García Rocío had been registered.

The corporate purpose of the company, modified on May 8, 2026 (BORME no. 87, p. 23116, registration I/A 58 of April 27, 2026), is the generation of wind energy and the development of this activity in accordance with the law, as well as the promotion of citizen participation mechanisms.

Board Background

The composition of the body that is now being dissolved had been renewed on several occasions over the last two years:

• November 4, 2024 (BORME no. 212, p. 49550): removal of Elecnor S.A. as president and director and appointment of Castellanos Ybarra José to both positions, registration I/A 48 of October 25, 2024.
• March 3, 2026 (BORME no. 42, p. 11167): removal of Castellanos Ybarra José and Enerfin Enervento S.L. as secretary, and appointment of Enerfin Sociedad de Energía S.L. as president and Rafael Llorente Castro as director, registration I/A 53 of February 23, 2026.
• April 24, 2025 (BORME no. 78): ex officio cancellation of the auditor Deloitte S.L. and appointment of PricewaterhouseCoopers Auditores S.L., registration I/A 52 of April 14, 2025.

The move places Statkraft Spain S.L. at the head of a company whose purpose is wind generation in Galicia, with its registered office in Lugo, and reduces the company’s governance structure to a single administrator. For the sector, the registration confirms the effective transfer of corporate control from the Enerfin perimeter to the Statkraft group, a relevant change for suppliers, industrial partners, and workers of the affected wind farms, who from now on will have a single interlocutor with representation powers.
