SSPD removes and appoints special agent for Air-e S.A.S. E.S.P.

The Superintendency of Residential Public Services (SSPD) removed Jaime Humberto Mesa Buitrago from the position of Special Agent of Air-e S.A.S. E.S.P. and appointed Ramiro Javier Castilla Andrade in his place, through Resolution SSPD-20261000761105 of 2026, dated August 31. The administrative act was published in edition 53,618 of the Official Gazette (Diario Oficial), corresponding to Monday, September 7, 2026, on page 119.

The decision was adopted by the acting Superintendent of Residential Public Services, María Rocío Cortés Vargas, who was appointed to the position via Decree number 1339 of August 28, 2026, and took office on August 31, 2026. The resolution is based on article 121 of Law 142 of 1994, Decree number 1369 of 2020, articles 291 and 295 of the Organic Statute of the Financial System, and the regulatory framework of the SSPD.

The intervened company

Air-e S.A.S. E.S.P., identified with NIT 901.380.930-2, is in a takeover process ordered by Resolution SSPD 20241000531665 of September 11, 2024, as the grounds provided in numerals 59.1, 59.2, 59.3, and 59.7 of article 59 of Law 142 of 1994 were met. The company provides public energy services in the energy and gas (EYG) sector and is classified as a Category 1 public service provider.

According to the financial information reported by the outgoing Special Agent via filing SSPD 20265293802542 of August 24, 2026, the assets of the intervened company at the close of July 2026 totaled COP 4,400,851 million.

The new special agent

Ramiro Javier Castilla Andrade, identified with citizenship card number 72215020 issued in Barranquilla, was appointed as the new Special Agent after proving the requirements demanded for Category 1 providers:

• Professional degree in industrial engineering.
• Postgraduate degree as a specialist in project design and evaluation.
• More than eighteen (18) years of experience in the residential public services sector, in electric energy provider companies such as Electricaribe S.A. ESP and AIR-E S.A.S. E.S.P., where he held positions as territorial manager, large customer manager, and commercial director.

The new agent must accept his appointment and take office before the office within three (3) days following the communication of the resolution.

Transition and obligations

Jaime Humberto Mesa Buitrago, who had been temporarily appointed by means of Resolution SSPD 20261000406305 of May 14, 2026, and took office on May 19, 2026, will continue to exercise his functions until the new Special Agent takes office. As the outgoing agent, he must deliver a final management report to the appointee within thirty (30) calendar days following the communication of the resolution, with a copy to the Directorate of Intervened Entities and in Liquidation of the SSPD.

The appointed Special Agent must carry out his management ensuring the provision of residential public services and the fulfillment of the objectives of the intervention process, in accordance with the functions indicated in articles 291 and 295 of the Organic Statute of the Financial System, Decree number 2555 of 2010, Law 142 of 1994, and External Circular SSPD 20161000000034 of 2016. The resolution is effective as of the date of its communication.

The appointment of a new Special Agent for Air-e S.A.S. E.S.P. seeks to ensure continuity and suitability in the management of one of the most relevant energy companies on the Colombian coast, in an intervention process that directly affects thousands of energy service users in the region.
