Sparinvest shareholders unanimously approve simplified winding-up of Bolig department

The board of Investeringsforeningen Sparinvest has secured unanimous shareholder approval to wind up the association’s afdeling Bolig, a decision taken at an extraordinary general meeting on 17 September 2026 at 09:00 and published in Statstidende on 18 September 2026 under notice S18092026-216. The department will be dissolved as a simplified liquidation under § 115 of lov om investeringsforeninger mv., conditional on authorisation from Finanstilsynet. The affected department carries department number 031 and SE number 31 02 36 96, and belongs to an association registered under FT number 11.010 and CVR number 73 15 85 16.

The simplified-liquidation route in the Danish Investment Associations Act allows a department to be wound up without the full creditor-settlement procedure that an ordinary liquidation would require, provided the supervisory authority consents. The board had already resolved to convene the meeting before the vote was put to shareholders, and the notice records that the proposal was carried unanimously and with all votes represented.

Unanimous vote at the extraordinary general meeting

The board of Investeringsforeningen Sparinvest convened the extraordinary general meeting for 17 September 2026 at 09:00 with the sole purpose of deciding on the winding-up of afdeling Bolig under the simplified-liquidation provisions. The meeting was held as scheduled and the proposal was adopted unanimously, with every vote represented at the meeting cast in favour.

The decision is not yet effective on its own. The notice states expressly that the winding-up will take place only under the condition that Finanstilsynet grants its permission, so the department continues to exist until the supervisory authority has ruled.

Three-month deadline for creditors

Under the provisions cited in the notice, anyone holding a claim or other demand against the department is called upon to notify that claim to the association. The key conditions are:

  • The deadline is three months from the insertion of the notice in Statstidende.
  • Claims must be submitted to the association, not to the department.
  • Each claim must be accompanied by the original documents on which it is based.

The three-month window runs from publication of the notice, which is dated Copenhagen, 18 September 2026, and signed by the board.

Contact point and formal details

All enquiries and claim submissions are directed to branch manager Thomas Valentiner at Investeringsforeningen Sparinvest, C/O ID-Sparinvest Filial af Sparinvest S.A., Østervold 47, 8900 Randers C. The notice lists the board of Investeringsforeningen Sparinvest, at the same Randers address, as liquidator, and the document is signed in Copenhagen on 17 September 2026 by the board.

The announcement appears in the section for miscellaneous notices covering liquidation and compulsory dissolution, and identifies the entity as an investment association (investeringsforening) with the branch ID-Sparinvest Filial af Sparinvest S.A. named alongside it.

What the decision means

For investors in afdeling Bolig, the vote sets in motion the end of the department as a separate investment vehicle, with the timing of the actual dissolution resting with Finanstilsynet. For creditors, the practical consequence is immediate: any claim not notified within three months of publication, and not supported by original documentation, risks being left out of the settlement of the department. The notice is the only formal channel announced for filing claims, and it names a single contact person and address for doing so.
