Som Energia absorbe seis filiales solares a través de Betondorp Renovables

The sole shareholder of Betondorp Renovables, S.L.U. decided on October 24, 2026, the absorption of six companies, which will transfer their assets to the absorbing entity and be extinguished. The decision is published in the Official Gazette of the Mercantile Registry (BORME) no. 209, of October 29, 2026, second section, page 7075, with the official reference BORME-C-2026-5706 and the identifier A260045958-1.

The announcement is based on Article 10.1 of Royal Decree-Law 5/2023, of June 28, which regulates the structural modifications of commercial companies. The insertion appears under the heading “Mergers and acquisitions of companies” of the second section of the gazette, dedicated to announcements and legal notices, and was signed in Girona on the same October 24, 2026, five days before its publication.

The published text does not include economic figures, consideration, or an execution schedule: it is limited to confirming the absorption, the extinction of the absorbed companies, and the right of shareholders and creditors to consult the documentation of the agreement.

Six absorbed and extinguished companies

The absorbing company is Betondorp Renovables, S.L.U., which assumes the assets of the following companies, all of which are single-member limited liability companies:

  • Energes Gamma Blanco, S.L.U.
  • Exiom PV Plant I, S.L.U.
  • I Fontivsolar, S.L.U.
  • Solar Park Vall de Coma, S.L.U.
  • Terborg Res Production, S.L.U.
  • Titan Energia, S.L.U.

The names of several of the absorbed entities refer to the photovoltaic business, which aligns with the profile of the absorbing entity: Betondorp Renovables, S.L.U. is managed by the electric cooperative Som Energia, Sociedad Cooperativa Catalana Limitada. The operation concentrates six corporate vehicles into a single company and simplifies the structure with which the group operates its generation plants.

A decision of the sole shareholder, without a general meeting

The absorption was not adopted in a general meeting of the absorbing entity. The announcement specifies that it was the sole shareholder of Betondorp Renovables, S.L.U. who decided on the operation “through its legal representative, assuming the functions of the Extraordinary General Meeting.” This mechanism is common in single-member companies, where the shareholder assumes the powers of the meeting by law.

The announcement is signed in Girona by the sole administrator of the absorbing company, Som Energia, Sociedad Cooperativa Catalana Limitada, represented by Nuria Palmada García.

Rights of shareholders and creditors

The legal notice expressly states the right of the shareholders and creditors of the affected companies “to obtain the full text of the agreements adopted and the merger balance sheet.” This is the information guarantee that the structural modification regulations recognize for both groups before the merger takes effect.

The announcement does not detail the exercise period for this right nor the specific address where it may be exercised, matters which must be consulted in the documentation filed with the Mercantile Registry.

The operation is part of a day with several mergers published in the same issue of the BORME, confirming the reactivation of this type of corporate restructurings in the final stretch of 2026.

Impact for partners and creditors

The absorption has direct consequences for readers with interests in the group: the creditors of the six extinguished companies now have Betondorp Renovables, S.L.U. as their debtor, hence the express reminder of their right of access to the merger balance sheet. For the partners of the cooperative, the operation reduces the companies within the renewable perimeter from seven to one and concentrates the equity liability in the absorbing entity. The publication in the BORME marks the starting point of the legal publicity of an agreement already adopted on October 24.
