Soliss renueva su consejo y confirma a Mariblanca como presidente

Soliss, Mutua de Seguros has renewed its board of directors and confirmed José Luis Mariblanca Zapero as chairman, according to the registration published in the Official Gazette of the Mercantile Registry (BORME) no. 203, dated October 21, 2026 (reference BORME-A-2026-203-45, page 49270). The agreements were registered in the Mercantile Registry of Toledo on October 14, 2026, under entries I/A 80, 81, and 82 of sheet TO 1.

The renewal is not an improvised move: it was submitted to the vote of the mutual members at the Ordinary General Meeting held on May 27, 2026, at the entity’s registered office, at Cuesta del Águila number 5 in Toledo. The board convened that meeting by agreement on April 17, 2026, published in BORME no. 78 on April 24 (reference BORME-C-2026-1490), with an agenda that expressly included the termination of board members and the reelection of the chairman, along with the election of three new members.

The statutory framework for the operation was established a few months prior. The Extraordinary General Meeting of March 17, 2026, convened by board agreement on February 27 and announced in BORME no. 46 on March 9 (reference BORME-C-2026-684), approved the full modification of the corporate bylaws. The May call was further completed with a supplement published on May 11, 2026 (reference BORME-C-2026-1967), which added the ratification of the agreements from that extraordinary meeting to the agenda.

Departures, arrivals, and vice-presidency

The registry entry details the movements of the governing body:

  • Terminations: Manuel García Gómez, who was a director and vice-chairman; Celedonio Morales Gutiérrez and César María Duro Sánchez, both directors.
  • Appointments of directors: Sonia Valle Medina, Ana Isabel López Gutiérrez, and Pedro Antonio Barbe Talavera.
  • New vice-presidency: Dionisio Ramos Díaz.
  • Reelection: José Luis Mariblanca Zapero, who continues as director and chairman.

The result is a board with three new faces and a ratified chairman, in an entity that already had Mariblanca Zapero at the helm: his signature headed the call for the extraordinary meeting in March 2026.

Three agreements registered on the same day

The BORME records three simultaneous entries for the same company, all dated October 14, 2026:

  • Entry I/A 80: terminations, appointments, and reelections of the board of directors.
  • Entry I/A 81: appointment of Abaco Auditores Consultores SL as auditor.
  • Entry I/A 82: modification of the corporate bylaws.

The appointment of the auditor aligns with the fourth point of the agenda for the ordinary meeting in May, which provided for the designation of statutory auditors for the 2026, 2027, and 2028 financial years. The meeting also addressed the approval of the annual accounts and the management report for the year ended December 31, 2025, the application of the result, and the remuneration of the board.

A mutual society that decides in assembly

Unlike a public limited company, the governance of Soliss depends on its mutual members, who are the ones who elect and remove the directors. The call notices set specific participation requirements: a prior request for attendance ten calendar days in advance, a nominal attendance card, and a written proxy vote addressed to the chairman of the board, including a copy of the identity document and receipt at the registered office with a margin of ten business days.

The renewal of the board therefore arrives with the support of the mutual’s sovereign body and with recently updated bylaws, providing formal coverage for the new composition of the body that directs the entity.

For the mutual members and policyholders of Soliss, the registration clarifies who is responsible for the company’s progress in the next cycle: a re-elected president, a new vice president, and three directors debuting in the role, with the 2025 accounts already approved and the auditor designated for the next three financial years. The publication in the BORME makes these appointments enforceable against third parties and allows for the verification of the actual composition of the board of the Toledo-based insurer.
