Sigla absorbs Restaurantes y Servicios Reyse and dissolves it without liquidation

The hospitality group Restaurantes y Servicios Reyse S.A.U. will cease to exist as an independent company after being absorbed by Sigla S.A.U., according to the announcement published in the Official Gazette of the Mercantile Registry (BORME) number 171, dated September 4, 2026. The decision was adopted on September 2, 2026, by the sole shareholder of the absorbing company, under the terms of the common merger project formulated by the administrative bodies of both companies on June 15, 2026.

The operation is carried out within the framework of Royal Decree-Law 5/2023, of June 28, which adopts transposition measures for European Union directives regarding structural modifications (the LME), and is published in the Second Section of the gazette, dedicated to announcements and legal notices, under the official reference BORME-C-2026-4866.

Scope of the operation

The merger by absorption involves the integration of the absorbed company into the absorbing company through the block transfer of its assets for the benefit of Sigla S.A.U., with the subsequent extinction without liquidation of Restaurantes y Servicios Reyse S.A.U.. In this way, all assets, rights, and obligations of the hospitality company are assumed by the absorbing company, which continues its activity.

The announcement, signed in Madrid on September 3, 2026, is signed by the joint administrators of both companies:

• Mr. Francisco Paez González, joint administrator of Sigla S.A.U. and Restaurantes y Servicios Reyse S.A.U.
• Ms. Maria Esther Pellón Pacheco, joint administrator of both companies

Rights of partners and creditors

In compliance with Article 10 of the LME, the right of the partners and creditors of the participating companies to obtain the full text of the agreements adopted and the merger balance sheet is expressly stated. All documentation is available to interested parties at the registered office of the participating companies, with the right to the free delivery or shipment of the texts.

This right is particularly relevant for the creditors of Restaurantes y Servicios Reyse S.A.U., whose debtor is replaced by the absorbing company, as well as for the partners of both companies, who can verify the equity conditions under which the integration is carried out.

Impact on the sector

The absorption concentrates in Sigla S.A.U. the hospitality business that until now was managed by Restaurantes y Servicios Reyse S.A.U., an operation that strengthens the position of the absorbing company in the catering sector. For suppliers, customers, and employees, the continuity of activity is guaranteed as the assets are integrated in block, without prior dissolution of the absorbed company.
