Siemens Energy convoca junta extraordinaria para decidir su autocartera

The Administrative Body of Siemens Energy, S.A. has called an Extraordinary General Shareholders’ Meeting for November 16, 2026, with the transfer of non-exchanged shares and a generic treasury share authorization as the first items on the agenda. The notice is published in the Official Gazette of the Mercantile Registry (BORME) no. 199, dated October 15, 2026, under the official reference BORME-C-2026-5457.

The company, with its registered office at Ronda Europa 5, Tres Cantos (Madrid), will hold the session at 1:00 PM on the first call and, if applicable, on November 17, 2026, at the same place and time on the second call. The notice is based on the consolidated text of the Capital Companies Act (LSC), approved by Royal Legislative Decree 1/2020 of July 2, and was signed in Madrid on October 9, 2026, by the joint administrators Thays Zapatero Larrio and Kerman Gabiola Usandizaga, under the identifier A260043998-1.

This is not the first time the Spanish subsidiary has brought corporate matters to its shareholders: in 2026, it already called an ordinary meeting to approve the accounts for the fiscal year ending September 30, 2025 (BORME-C-2026-329, BORME no. 23, dated February 4, 2026) and in September 2024, an extraordinary meeting to address the resignation and appointment of a joint administrator (BORME-C-2024-5131, BORME no. 177, dated September 13, 2024). In July 2023, the company modified its governance structure toward the system of joint administrators (BORME-C-2023-4853, BORME no. 137, dated July 20, 2023).

The five items on the agenda

The session is structured into five points, according to the announcement published in the Second Section of the gazette, dedicated to announcements and legal notices:

  • First. Examination and approval, if applicable, of the procedure for the transfer of non-exchanged shares in accordance with article 117.3 of the LSC, with authorization for the Administrative Body for the derivative acquisition of said shares as treasury shares.
  • Second. Generic authorization for the Administrative Body, under article 146 of the LSC, for the derivative acquisition of treasury shares, establishing the method of acquisition, the maximum number of shares, the minimum and maximum price, and the duration of the authorization.
  • Third. Authorization and delegation of powers for the interpretation, correction, supplementation, execution, notarization, development, and registration of the agreements.
  • Fourth. Requests and questions.
  • Fifth. Drafting, reading, and approval of the minutes of the session.

Treasury shares: two paths and one single recipient

The first point addresses a technical assumption: shares that have not been exchanged in previous corporate transactions and whose destination must be approved by the general meeting in accordance with Article 117.3 of the LSC. The authorization enables the administrative body to acquire them as treasury shares.

The second point is broader: a generic authorization for the derivative acquisition of own shares under Article 146 of the LSC, which requires the agreement to specify the modality, the maximum number of securities, the price range, and the period of validity. The announcement does not detail the specific figures in the notice, which will be submitted to the general meeting.

Shareholders’ rights before the vote

The announcement outlines the participation regime provided for in the LSC and the corporate bylaws:

  • Supplement to the notice: shareholders representing at least 5% of the capital may request the inclusion of new items on the agenda, via formal notification to the registered office within five days following publication (Article 172 of the LSC).
  • Right to information: they may request clarifications or ask questions up to the seventh day prior to the meeting or during the meeting itself (Article 197 of the LSC).
  • Documentation: all shareholders may examine the full text of the proposed statutory amendments and the administrators’ justifying report at the registered office, and request their free delivery or shipment (Article 287 of the LSC).
  • Attendance: holders of shares representing at least one per thousand of the share capital may attend.
  • Representation: this is granted in writing and specifically for each meeting, except for a spouse, ascendant, or descendant of the represented party or a general power of attorney in a public document, in accordance with Article 12 of the bylaws.

The notice comes at a time of intense corporate activity within the group, which in recent years has reorganized subsidiary companies through mergers by absorption. For the minority shareholders of Siemens Energy, S.A., the meeting on November 16 is the opportunity to set the price, volume, and term of any buyback of own shares, as well as to resolve the destination of the unexchanged securities; the result of the vote will condition the company’s treasury share policy in the coming financial years.
