Seedrocket 4Founders Capital, F.C.R.E., S.A. will reduce its share capital by 618,043.05 euros for the purpose of returning the value of contributions to its shareholders, according to the announcement published in the Official Gazette of the Mercantile Registry (BORME) on Monday, October 5, 2026. The decision was adopted unanimously by the Extraordinary and Universal General Meeting of shareholders held on September 15, 2026. The agreement is published in the Second Section of the gazette under the official reference BORME-C-2026-5315, and opens a one-month period for creditors to object.
The announcement is based on Article 319 of the Capital Companies Act (LSC), which requires the public disclosure of the capital reduction agreement. Following the operation, the company’s share capital is set at 1,803,972.88 euros, compared to the 2,422,015.93 euros in effect until now. The company, headquartered in Barcelona, is a venture capital fund managed by 4Founders Capital, S.G.E.I.C., S.A., whose sole administrator signs the announcement: Marc Badosa Rigau.

Creditors’ right of opposition
The company’s creditors may oppose the reduction under the terms of Articles 334 and 335 of the LSC. Background: third reimbursement since 2021
This is not the first operation of this type in the company. In September 2021, the company reduced its capital by 5,128,534 euros to restore contributions, leaving it at 6,871,466 euros, through the amortization of 5,128,534 Class A shares with a nominal value of one euro (BORME-C-2021-6296). In September 2023, it agreed to a new reduction of 325,477 euros for the same purpose, down to 6,545,989 euros (BORME-C-2023-5837).
In June 2024, the reduction was 4,123,973.07 euros, in this case to provide for the legal reserve and a voluntary reserve, leaving the capital at 2,422,015.93 euros (BORME-C-2024-3777); the registry filing of this operation was published in October 2024 (BORME-A-2024-195-08). In August 2026, the BORME recorded the appointment of BDO Auditores SLP as the company’s statutory auditor.
The operation returns liquidity to the fund’s participants and consolidates the path of reimbursements initiated in 2021, within a context of divestments in Spanish venture capital. For creditors, the announcement opens a one-month period to object; for shareholders, it entails the effective collection of 618,043.05 euros according to the distribution provided for in the bylaws.
