Repsol convierte en nominativas las acciones de nueve filiales internacionales

Nine companies within the international perimeter of Repsol have agreed that their shares will no longer be represented by bearer certificates and will instead become registered shares. The decision was adopted on October 2, 2026, and is now published in the Second Section of the Official Gazette of the Mercantile Registry (BORME) number 211, corresponding to Tuesday, November 3, 2026, under the heading “Other announcements and legal notices.” The announcements span pages 7166 to 7175 of the gazette and are based on Article 117 of the Capital Companies Act.

The change does not alter the financial structure of any of the companies: in all cases, it is expressly stated that the conversion took place “without modification of the number of shares, their nominal value, or the amount of share capital.” All affected entities share a registered office in Madrid, at number 44 Méndez Álvaro Street, the group’s headquarters.

The method of adopting the agreement varies according to the corporate nature. In six of the companies, constituted as sole-shareholder public limited companies, the sole shareholder resolved; in the remaining three—Repsol Exploración Guinea, S.A., Repsol OCP Ecuador, S.A., and Repsol Oriente Medio, S.A.—the agreement corresponds to the general shareholders’ meeting, also held on October 2.

  • Repsol Servicios Renovables, S.A.U., CIF A79787354, pág. 7175 (BORME-C-2026-5780).

Added to this list is a tenth announcement, that of the parent company Repsol Exploración, S.A.U. (CIF A28138873), published on page 7170 with reference BORME-C-2026-5775, which corresponds to the same agreement and the same procedure.

One month for the exchange and deposit of non-presented certificates

The announcements establish a common calendar for shareholders:

  • The deadline to present bearer shares at the registered office and request their exchange is one month from the date of the final publication of the announcement.
  • Shares not presented within this period will be cancelled and replaced by others, the issuance of which will be announced in accordance with Article 117 of the Capital Companies Act.
  • The new shares will be deposited at the registered office on behalf of whoever proves their ownership.
  • After three years from the establishment of the deposit, the company may sell the shares for the account and risk of the interested parties, with the intervention of a notary.
  • The net proceeds of said sale will be available to the interested parties at the Bank of Spain or the General Deposit Fund (Caja General de Depósitos).

Signatures of the administrators

The announcements were signed in Madrid on October 2, 2026, by the administrative bodies of each company:

  • Francisco Gea Pascual del Riquelme and José Carlos de Vicente Bravo, joint administrators of the subsidiaries in Algeria, Murzuq, and Investigaciones Petrolíferas.
  • Juan Pablo Ghelardi Portocarrero, sole administrator of Guinea and Middle East.
  • José Luis Tornero Atienzar, sole administrator of Tobago and OCP Ecuador.
  • José Carlos de Vicente Bravo, sole administrator of Peru, and Germán Miñano Fernández, sole administrator of Repsol Exploración.
  • João Paulo Nogueira de Sousa Costeira, sole administrator of Servicios Renovables.

The conversion into registered shares strengthens the control over the ownership of capital within the group’s international perimeter, by requiring the identification of each shareholder in the registry book instead of allowing the anonymous transfer of shares. This move affects companies with a presence in Algeria, Guinea, Libya, Peru, Trinidad and Tobago, Ecuador, and the Middle East, as well as the renewable services subsidiary, and is implemented through a homogeneous exchange procedure that gives shareholders a one-month window before the cancellation of non-presented shares.
