Registrar of Joint Stock Companies moves to strike off twenty-one firms
Por FactBox Admin

The Registrar of Joint Stock Companies and Firms has moved to strike 21 companies off the register, issuing notices under section 346(3) of the Companies Act 1994 that give each firm 90 days to show cause why it should not be dissolved. The notices, dated between 3 and 21 September 2026, were published in the Bangladesh Gazette of 1 October 2026 under references RJSC/WD/N/17813 to RJSC/WD/N/17865. One company, Shanta Technologies Limited, has already been struck off under section 346(5).
The notices were issued by the Office of the Registrar of Joint Stock Companies and Firms (RJSC) in Dhaka and signed by its Assistant Registrars — among them Jadhob Kumar Poddar, Muhammad Selim Mia, Ananta Kumar Paul, Shahedul Azam, Md. Noab Pramanik and Md. Rafiqul Islam — acting on behalf of the Registrar. They appear in the First Part of the 6th Volume of the gazette, an extraordinary issue published by authority.
Section 346(3) of the Companies Act 1994 allows the Registrar to remove a company from the register where there is reason to believe it is no longer carrying on business or is not in operation. Each notice states that if no cause is shown within 90 days of publication, the company’s name will be cut from the register and the company will be dissolved. The 90-day window opened with publication on 1 October 2026 and closes in late December 2026.

Two routes to removal
Twenty of the notices invoke section 346(3), the standard dormant-company procedure, which gives the company a 90-day window to respond before its name is deleted. The notice for Shanta Technologies Limited instead invokes section 346(5), under which the company is removed from the register and dissolved as soon as the gazette notice is published.
The Liberty Consortium notice names Shahinur Rahman Khan as the company’s former managing director and records that the strike-off is being processed through the RJSC’s IBAS++ online system.
Who is affected
Dissolution ends the company as a legal person, so the notices bear directly on shareholders, creditors and employees of the firms named. Any party wishing to oppose a strike-off must show cause to the Registrar within the 90-day period.
The notices do not wipe out every obligation. The section 346(5) notice for Shanta Technologies Limited states expressly that if any director or member owes any dues, those dues will remain outstanding.
For readers, the notices are a public warning: any of the 21 companies that cannot show it is still trading will cease to exist by the end of 2026, and anyone holding a claim against them has until late December to act. The notices, with registration numbers and file references, are printed in full in the gazette.
