Real Oviedo: junta el 25 de noviembre para cuentas, presupuesto y consejo

Real Oviedo, S.A.D. will hold an Ordinary General Shareholders’ Meeting on November 25, 2026, at 5:00 PM on the first call, with the objective of approving the accounts for the 2025-2026 financial year and the budget for the 2026-2027 season. The call was unanimously agreed upon by the club’s Board of Directors at its meeting on October 19, 2026, and is published in the Official Gazette of the Mercantile Registry (BORME) no. 204, dated October 22, 2026, in the Second Section of announcements and legal notices, under the official reference BORME-C-2026-5565.

Formal call and meeting venue

The announcement, located on page 6907 of the gazette, sets the meeting at the Sala del Auditorio Príncipe Felipe, in the Plaza de la Gesta de Oviedo (Asturias), postal code 33007. If the necessary quorum is not reached, the meeting will convene the following day, November 26, 2026, at the same place and time, on the second call.

The call is supported by the Capital Companies Law and is part of the ordinary accountability process of a sports public limited company, whose financial year closes on June 30. The board’s agreement bears the signature of the entity’s president, José Martín Peláez Álvarez, and was formalized in Oviedo on October 19, 2026.

A seven-point agenda

The matters submitted for the consideration of the shareholders are as follows:

  • Approval, if applicable, of the annual accounts for the period between July 1, 2025, and June 30, 2026.
  • Proposal for the application of the financial year’s result.
  • Approval, if applicable, of the income and expenditure budget for the 2026-2027 season.
  • Approval, where applicable, of the corporate management for the 2025-2026 financial year.
  • Appointment of the statutory auditor for the 2026/2027, 2027/2028, and 2028/2029 financial years.
  • Termination and reelection of the members of the Board of Directors.
  • Other business (requests and questions).

The sixth point is the most significant organizationally, as it concentrates the total or partial renewal of the Asturian club’s governing body into a single vote. The fifth point, for its part, extends the external audit of the accounts for a period of three financial years.

Requirements for attendance and proxy voting

The announcement details the conditions for participation:

  • Shareholders holding four or more shares shall have the right to attend.
  • It will be necessary to be registered in the company’s Share Register Book five days prior to the date of the meeting.
  • Representation may be granted to any person, whether a shareholder or not, provided that the delegation is in writing and specifically for this meeting.
  • The delegation must be accompanied by the mandatory attendance card issued to the represented shareholder.

Regarding information, and in accordance with Article 272.2 of the Capital Companies Act, shareholders have free and immediate access to the documents submitted for approval, as well as the management report and the audit report, without prejudice to the general information rights set forth in Article 197 of the same legal text.

Notarial control of the minutes

The Board of Directors shall require the presence of a notary to draw up the minutes of the meeting, in accordance with the provisions of Article 203.1 of the Capital Companies Act. This reinforcement of notarial public faith usually accompanies meetings in which the composition of the administrative body is decided.

The immediate precedent is the meeting of November 26, 2025, convened on September 29 of that year and published in BORME no. 203 of October 23, 2025, with reference BORME-C-2025-5666, which approved the accounts for the 2024-2025 financial year, the budget for the 2025-2026 season, and the auditor for the 2025/2026 to 2027/2028 financial years. The calendar thus repeats with a one-month difference compared to the previous year.

Impact for the shareholders

The appointment on November 25 is the only statutory occasion in which the shareholders of Real Oviedo, S.A.D. can validate the accounts of the recently closed season, authorize the expenditure for the 2026-2027 course, and decide who comprises the board during the next cycle. The threshold of four shares to attend and the requirement for prior registration in the Register Book make the date a practical limit: anyone who has not regularized their position five days prior will be excluded from the vote.
