Port Aventura assumes the presidency of Weriseup after capital increase

Port Aventura Entertainment, Sociedad Anónima will chair Weriseup, Sociedad Limitada —the name that replaces the previous Paesa Development, Sociedad Limitada— after the company lost its sole-shareholder status and increased its capital in two tranches. The agreements, registered in the Mercantile Registry of Tarragona on September 22, 2026, are published in the Official Gazette of the Mercantile Registry (BORME) number 188, corresponding to Tuesday, September 29, 2026, in the First Section (Entrepreneurs, Registered Acts), page 45758, under references 434850 to 434854.

The BORME is the official gazette for the publication of acts registered in the provincial mercantile registries, such that registration grants these movements effectiveness against third parties. All entries correspond to the same registration sheet, S 8, H T 52040, and are linked in registrations I/A 7 to I/A 11, carried out on the same day.

Name change and two capital increases

The company links four corporate entries before renewing its governing body:

• Reference 434850: change of corporate name from Paesa Development, Sociedad Limitada to Weriseup, Sociedad Limitada (registration I/A 7).
• Reference 434851: capital increase of 154,080.00 euros, with a resulting subscribed capital of 157,080.00 euros (registration I/A 8).
• Reference 434852: second capital increase of 150,920.00 euros, which raises the resulting subscribed capital to 308,000.00 euros (registration I/A 9).
• Reference 434853: loss of the company’s sole-shareholder status (registration I/A 10).

The combined effect of both increases places the subscribed capital at 308,000.00 euros, compared to the 3,000.00 euros prior to the first tranche, and the loss of sole-shareholder status confirms the entry of new partners into the capital.

New board of directors and statutory reform

Reference 434854 (registration I/A 11) records the handover in the administrative body, which changes from joint administrators to a board of directors, with the following movements:

• Cessation and resignation of joint administrators Fernando Aldecoa Llaudado and Joan Ramon Calanda Balsells.
• Appointment of Port Aventura Entertainment, Sociedad Anónima as chairperson.
• Appointment of Port Aventura Entertainment, Sociedad Anónima, Anne-Martine Elizabeth Agerbeek-Cox, and Andreu Tobella Brunet as directors.
• Appointment of Julia Figueras Díaz as non-director secretary.
• Modification of articles 13º, 14º, and 20º of the corporate bylaws, consistent with the new corporate governance model.

Background: from Rinarlex Ibérica to Weriseup

The company’s link to the Catalan leisure group is not new. In BORME number 167, dated September 1, 2017, the then Rinarlex Ibérica, S.L. (reference 356221) changed its name to Paesa Development, S.L., declared its sole-shareholder status with Port Aventura Entertainment, S.A. as the sole partner, and established its corporate purpose as the installation, construction, and operation of theme parks, hotel complexes, and convention centers.

Already in 2026, BORME number 57, dated March 24, published for Paesa Development, Sociedad Limitada (reference 149218, registration I/A 6, dated March 17, 2026) the appointment of joint proxies Andreu Tobella Brunet, Esther Vallespín Soteras, and Eva Uruen Pueyo, along with a change in corporate purpose toward strategic, technical, and operational consultancy in innovation, digital transformation, emerging technologies, and project management.

Analysis of the operation

The registered package outlines a complete sequence: renaming of the company, capital injection of 305,000 euros in two tranches, the end of its sole-shareholder status, and the establishment of a board of directors chaired by the parent company of the Salou and Vila-seca complex. The company thus transitions from a sole-shareholder vehicle with joint administrators to a company with a board, external directors, and a non-director secretary, a format typical of a subsidiary with a vocation for formalized governance.
