Parlem Telecom increases capital up to 7.95 million on BME Growth

The Catalan telco Parlem Telecom Companyia de Telecomunicacions, S.A. has launched a capital increase of up to 7,950,000 euros with the recognition of preferential subscription rights for its shareholders. The operation, executed by the Board of Directors at its meeting on August 31, 2026, is published in the Official Gazette of the Mercantile Registry number 174, dated September 9, 2026, with the official reference BORME-C-2026-4914.

The capital increase was approved by the General Shareholders’ Meeting held on August 7, 2026, under the seventh item of its agenda, under the delegation of powers conferred upon the Board of Directors, in accordance with article 297.1 a) of the Capital Companies Law (Royal Legislative Decree 1/2010, of July 2).

Terms of the issuance

The increase is carried out through cash contributions via the issuance of up to 9,937,500 new ordinary shares with a nominal value of 0.01 euros each, of the same class and series as those currently in circulation and represented by book entries.

• Maximum nominal amount: 99,375.00 euros.
• Issuance premium: up to 7,850,625.00 euros, at a rate of 0.79 euros per share.
• Unit issuance price: 0.80 euros per share (0.01 nominal and 0.79 premium).
• Total amount of contributions: maximum 7,950,000.00 euros.
• Accounting registry: assigned to Iberclear and its participating entities.

Preferential subscription

The new shares are issued with preferential subscription rights for shareholders who have acquired their securities by 23:59 Barcelona time on the day of the announcement’s publication, in the proportion of 20 new shares for every 39 shares registered with Iberclear.

As of the date of the execution agreement, the number of registered shares amounted to 19,865,753, of which 209,745 were held in treasury. To maintain a whole proportion, the shareholder Inversors de Catalunya per les Telecomunicacions Telecom, S.L. has irrevocably waived the rights corresponding to 277,883 shares, leaving 19,378,125 shares with preferential subscription rights.

Calendar and trading

The Preferential Subscription Period will begin on the business day following the publication of the announcement and will last fourteen calendar days. The rights will be transferable, and the Company will request their trading on the BME Growth segment of BME MTF Equity during the last five stock market business days of the period.

• Discretionary allocation: if any shares remain unsubscribed, a discretionary allocation period will be opened.
• Partial subscription: expressly provided for, such that the capital will be increased by the amount effectively subscribed (Article 311 of the Capital Companies Act).
• Expansion Document (DA): published by BME Growth on September 8, 2026, in accordance with Circular 1/2026, of March 18, 2026, and available at parlem.com and bmegrowth.es.

The operation, signed by the non-director secretary of the Board of Directors, Ms. Naiara Bueno Aybar, strengthens the financial position of the Catalan operator listed on BME Growth, offering its shareholders the possibility of maintaining their equity stake and investors a point of entry into the telecommunications company.
