Nokia Spain convoca junta extraordinaria para renovar su consejo de administración

Nokia Spain, S.A. has called an extraordinary general meeting for the upcoming November 10, 2026, at 10:30 a.m., at its registered office at Maria Tubau street number 9, in Madrid (P.C. 28050). The substantive matter of the agenda is the approval of the separation and the appointment of members of the company’s Board of Directors. The notice, agreed upon by the board itself in its meeting on September 30, 2026, is published in the Official Gazette of the Mercantile Registry (BORME) number 195, corresponding to Thursday, October 8, 2026, with the official reference BORME-C-2026-5358.

Three points on the agenda

The announcement, disseminated in the Second Section of the gazette —the one dedicated to announcements and legal notices—, details an agenda with three sections:

  • First. Approval of the separation and appointment of members of the Company’s Board of Directors.
  • Second. Delegation of powers.
  • Third. Drafting, reading and, if applicable, approval of the Minutes of the meeting.

The notice is adopted under the Capital Companies Act (LSC) and bears the signature of the board secretary, Mr. Vicente Carreres Colón, in Madrid, on September 30, 2026. The document is identified with the code A260042521-1 and is verifiable at the gazette’s electronic address.

Right to information until November 3

In accordance with article 197 of the Capital Companies Act, shareholders may request from the directors any information or clarifications they deem necessary regarding the matters included in the agenda, or submit in writing any questions they consider pertinent. The period extends from the publication of the notice until the seventh day prior to the holding of the meeting —that is, until November 3, 2026— and questions may also be posed verbally during the meeting itself.

Unlike the ordinary meeting, the extraordinary meeting does not put the annual accounts or the board’s management to a vote, but only the composition of the administrative body and the associated procedures.

Background: from the ordinary meeting in June to the renewal of the board

The company already held an ordinary general meeting on June 30, 2026, called by agreement of the board on May 19, 2026 and published in BORME number 100, of May 28, 2026, page 3804, with reference BORME-C-2026-2989. That agenda included the examination and approval of the annual accounts, the non-financial information statement, and the management report for the 2025 financial year, in addition to the review of the board’s management.

Previous mercantile records allow for the reconstruction of the body’s composition: in October 2024, the re-elections of José Ignacio Gallego del Sastre and Fernando Cruz Esteve as directors were registered, with Gallego del Sastre as president (BORME-A-2024-194-28), and in October 2022, the re-election of Vicente Carreres Colón as director and secretary (BORME-A-2022-202-28). The company is registered in the Mercantile Registry of Madrid with registration data S 8, H M 28875.

Impact for employees, suppliers, and the technology sector

The renewal of the board of Nokia Spain, S.A. affects the top management of the Spanish subsidiary of the Finnish group Nokia, with staff, suppliers, and customers in the telecommunications and network infrastructure sector. The decision will be adopted in an extraordinary meeting with a single substantive item, which focuses attention on who will occupy the board seats and on the continuity of the company’s strategy in Spain.
