Noatum Terminals files the partial spin-off with Noatum Automotive as the beneficiary

The Mercantile Registry has deposited the partial spin-off project of Noatum Terminals, S.L., with Noatum Automotive, S.L. as the beneficiary company, according to the announcement published in the Official Gazette of the Mercantile Registry (BORME) number 187, corresponding to Monday, September 28, 2026 (reference BORME-B-2026-187-08, page 45591). The deposit is dated September 22, 2026, and is published in the First Section, under the heading “Other acts published in the Mercantile Registry,” under the heading of Barcelona. The operation is part of the corporate reorganization of the port logistics operator and activates the information regime for shareholders, creditors, and employees.

Partial spin-offs are governed by the structural modification regime of Royal Decree-Law 5/2023, of June 28, which requires the publication of the agreement and the deposit of the project in the Mercantile Registry so that interested parties can exercise their rights to information and opposition. The BORME records these deposits in the First Section, within the “Other acts published in the Mercantile Registry” section, indicating the spun-off company, the beneficiary, and the date of the deposit.

This is not the first publication of this operation. On August 24, 2026, BORME number 162 already recorded, on page 40950 (reference BORME-B-2026-162-28), the deposit of the partial spin-off project of Noatum Terminals, S.L. dated August 17, 2026. The registry file published that day (reference 389820, BORME-A-2026-162-28) specified that the beneficiary is Noatum Automotive, S.L., domiciled in Barcelona, with CIF B-19777499, and that the registry data of the spun-off company correspond to sheet M 659459, registration 34.

The same issue of the BORME includes, in the First Section of registered acts (page 45439, reference 431526, BORME-A-2026-187-08), an entry for Noatum Automotive, S.L. stating that the announcement informing shareholders, creditors, and employee representatives that they may submit observations on the project to the company up to five business days before the general meeting has been deposited. The registry data of the beneficiary appear on sheet B 618643, registration 4 N, dated September 22, 2026.

A group with a presence in several ports

Noatum Terminals, S.L. appears in previous BORME publications as the parent company or advisor to several port terminals: Noatum Terminal Castellón, S.A., Noatum Terminal Tarragona, S.A., Noatum Terminal Sagunto, S.L., Noatum Terminal Málaga, S.A., and Noatum Terminal Santander, S.A. For its part, Noatum Automotive, S.L. appears as the joint managing director of Auto Terminal, S.A., a company with registration sheet B 12343. The sole administration of Noatum Terminals, S.L.U. corresponds to Óscar Rodríguez Roijals, according to the notice published in the BORME on July 15, 2026 (reference BORME-C-2026-4163).

For creditors, employees, and partners of both companies, the filing opens the formal window for information and observations provided for in the regulations on structural modifications, before the general meeting issues its ruling. The publication in the BORME confirms that the partial spin-off of Noatum Terminals, S.L. in favor of Noatum Automotive, S.L. is following its registration process and that the reorganization of the port group is advancing through corporate channels, although the announcement does not yet detail the assets or branches of activity being transferred.
