Moreda Riviere opens a month to exchange securities following the partial spin-off
Por FactBox Admin

Moreda Riviere Trefilerías, S.A. (MRT) opens a one-month period to exchange all currently outstanding securities issued by the company, following the partial spin-off of part of its assets in favor of Celsa Wire Cerdanyola, S.A. (CWC) and the subsequent reduction of its share capital from 51,821,448.02 euros to 25,910,724.01 euros. The announcement is published in the Official Gazette of the Mercantile Registry (BORME) no. 206, dated October 26, 2026, in the Second Section (announcements and legal notices), with the official reference BORME-C-2026-5633.
The legal framework and the figures of the operation
The communication is made public in accordance with Article 117 of Royal Legislative Decree 1/2010, of July 2, which approves the revised text of the Capital Companies Act (LSC). The capital reduction was formalized through the decrease in the nominal value of each of the company’s 1,121,191 shares, which change from 46.22 euros to 23.11 euros per share.
The registration data identifying the two companies involved are as follows:
- Moreda Riviere Trefilerías, S.A. (MRT): N.I.F. A-59525113, registered office at Avenida del Príncipe de Asturias, Gijón (Asturias), registered in the Mercantile Registry of Asturias at volume 1,535, folio 89, page AS-8218.
- Celsa Wire Cerdanyola, S.A. (CWC): N.I.F. A-67031567, registered office at Calle Montclar, 61, Polígono Polizur, Cerdanyola del Vallès (Barcelona), registered in the Mercantile Registry of Barcelona at volume/IRUS 1000374842362, electronic folio 0, page B-507268.
The operation was formalized in a public deed dated August 8, 2025, granted before the Notary of Santander, Mr. Rafael Segura Báez, under number 1,391 of his protocol.
A two-step exchange: first MRT and then CWC
The period for presenting the securities is one month starting from the date of the last publication of the announcement, which must appear in both the BORME and the newspaper El Economista, defined in the notice itself as the newspaper with the widest circulation in the provinces of the registered offices of MRT and CWC.
The procedure is organized into two successive steps:
- Before MRT, the shareholder must present the original nominative security along with documentation proving identity and ownership (valid DNI, NIE, or passport and, if applicable, a power of attorney). The company will then deliver a new security with the updated nominal value of 23.11 euros per share.
- Before CWC, and once the previous step is completed, the shareholder must exhibit the new MRT security to receive the corresponding nominative security, in a 1:1 ratio, i.e., one CWC share for every MRT share.
The contact points enabled for both procedures are the postal address of each registered office, the email address Arey@gcelsa.com, and Ms. Arantza Rey, from the Administration Department.
What happens to the non-presented securities
After a period of one month, securities not presented for exchange in MRT will be automatically cancelled and replaced by new ones, the issuance of which will likewise be announced in the BORME and in El Economista, in accordance with article 117.2 of the LSC. The MRT securities of those who do not attend the exchange will be deposited on behalf of whoever justifies their ownership.
Three years after the constitution of the deposit, the non-withdrawn securities—both from MRT and CWC—may be sold by the respective company, for the account and risk of the interested parties and with the intervention of a notary. The net amount of the sale will be available to the interested parties at the Bank of Spain or in the General Deposit Fund, according to paragraphs 2 and 3 of article 117 of the LSC.
The announcement was signed in Gijón on October 20, 2026, by the Chairman of the Board of Directors of Moreda Riviere Trefilerías, S.A. and natural person representative of Celsa Opco, S.A.U., sole administrator of Celsa Wire Cerdanyola, S.A., Mr. Carlos Enrique Díaz Navarro.
Impact for shareholders
The exchange affects all 1.12 million outstanding shares of the steel group and forces minority shareholders to complete a double administrative procedure within a limited timeframe if they do not want their securities to be cancelled and deposited. The publication in the BORME establishes the dies a quo for the calculation; therefore, the date of the announcement’s appearance in El Economista determines the effective expiration of the month to present the securities.
