MGC Insurance absorbs the Montepio del Colectivo Portuario de Valencia

MGC Insurance, Mutua de Seguros y Reaseguros a Prima Fija, will absorb Montepio del Colectivo Portuario de Valencia, Mutualidad de Previsión Social, after the extraordinary general assemblies of both entities approved the operation on September 15, 2026. The agreement was made public in the Boletín Oficial del Registro Mercantil (BORME) no. 186, of September 25, 2026, second section, page 6438, with the official reference BORME-C-2026-5181. The effectiveness of the merger is subject to obtaining the mandatory administrative authorizations.
The operation is based on Royal Decree-Law 5/2023, of June 28, regarding structural modifications of commercial companies. The common merger project was signed on March 26, 2026, by the members of the Board of Directors of the absorbing entity and the Board of Directors of the absorbed entity, and its filing was published in BORME no. 135, of July 16, 2026, page 35205, with the reference BORME-B-2026-135-46 and filing date of July 9, 2026.
Terms of the operation
The merger is structured through the bulk transfer of the assets of the absorbed entity by universal succession in favor of the absorbing entity, with the subsequent dissolution without liquidation of Montepio del Colectivo Portuario de Valencia.
The announcement was signed in Barcelona on September 17, 2026, by:
- Daniel Redondo García, president of MGC Insurance, Mutua de Seguros y Reaseguros a Prima Fija (absorbing entity).
- Josefa Ruano Monfort, president of Montepio del Colectivo Portuario de Valencia, Mutualidad de Previsión Social (absorbed entity).
Rights of mutualists and creditors
The announcement expressly states the right of mutualists, creditors, and other authorized persons to obtain the full text of the agreements adopted in relation to the operation, including the merger balance sheet.
The registration data of the absorbed entity corresponds to the Mercantile Registry of Valencia, sheet H V 66402. In June 2026, the mutual society registered the appointment of Capital Auditors and Consultants SL as auditor (BORME no. 122, of June 29, 2026).
Pending authorizations and concentration context
The publication does not set deadlines for opposition nor economic figures: it is limited to warning that the merger will not be effective until the mandatory administrative authorizations, specific to the insurance and social welfare sector, are obtained.
The operation is part of a concentration strategy by MGC Insurance. On the same day, the BORME published the absorption of Mutualitat de Previsió Escolar Sant Josep de Calassanç, Mutualitat de Previsió Social a Prima Fixa (reference BORME-C-2026-5182), with a common merger project of the same date, March 26, 2026. In July 2023, the entity had already absorbed the Caja de Socorros Institución Policial Mutualidad de Previsión Social a Prima Fija (BORME no. 136, of July 19, 2023, p. 5872, reference BORME-C-2023-4838).
The impact for readers is twofold: the mutual members of the Valencian port collective will now depend on a larger Catalan mutual society, and the creditors of the absorbed entity retain their right to consult the agreements and the merger balance sheet. The integration will not be effective until the administrative authorizations are resolved; therefore, the Valencian mutual society formally maintains its legal personality while the file remains open.
