Por FactBox Admin

Metrópolis Siglo XXI devuelve tres millones a sus accionistas tras reducir capital

The company Metrópolis Siglo XXI, S.A. will reduce its share capital by 3,004,000 euros and return this amount to its shareholders by reducing the nominal value of the 1,200,000 shares into which the capital is divided. The agreement was adopted by the extraordinary general shareholders’ meeting held on October 14, 2026, and is made public in the Official Gazette of the Mercantile Registry (BORME) No. 211, of November 3, 2026, in the Second Section of announcements and legal notices, with the official reference BORME-C-2026-5769.

The publication is carried out under Article 319 of the Capital Companies Act, which requires the announcement of capital reductions agreed upon by the meeting. The decision corresponds to the extraordinary general meeting of October 14, 2026, and the announcement was signed in Madrid on October 28, 2026, by the chairman of the board of directors, Javier Celma Mendoza.

The operation does not alter the number of shares, but rather their nominal value: the company maintains the 1,200,000 shares and reduces their unit value, consequently amending Article 6 of the corporate bylaws.

Operation figures

  • Reduced capital: 3,004,000 euros.
  • Number of affected shares: 1,200,000, the entirety of the capital.
  • Resulting nominal value: 10.83 euros per share.
  • Share capital after the reduction: 12,996,000 euros, fully subscribed and paid up.
  • Number of shares after the operation: 1,200,000, unchanged.

The reduction is executed through the restitution of monetary contributions and affects all shares equally. The refund will be made via bank transfers to the shareholders, in the manner provided for in the corporate agreement and upon the execution of the corresponding public deed.

Creditors: one month to object

In accordance with Articles 334 and 336 of the Capital Companies Act, corporate creditors who meet the legal requirements may exercise their right to oppose the capital reduction within a period of one month from the date of the last announcement of the agreement. This is the standard guarantee against the return of contributions, as the outflow of resources decreases the amount of capital backing obligations to third parties.

Second reduction in two years

This is not the first operation of this type in the company. BORME no. 250, of December 30, 2024, already recorded a capital reduction of 2,036,000 euros, which left the subscribed capital at 16,000,000 euros, with registration data entered in volume 8, page M-67738, entry 121. That operation set the nominal value per share at 13.33 euros; with the reduction now published, each share is now worth 10.83 euros. The company also has a registered auditor, Forvis Mazars Auditores, SLP, according to the appointment published in April 2025.

The reduction is registered on the same registration page M-67738 of Section 8, meaning the company has accumulated a capital cut of over five million euros over two fiscal years, equivalent to nearly a quarter of the capital it held at the end of 2024.

Impact for partners and creditors

For readers with interests in the company, the announcement marks the calendar: shareholders will receive the refund at the time of the public deed, and creditors have one month from the last publication to object if they consider the asset guarantee to be compromised. The announcement in the BORME is, furthermore, the requirement that provides effectiveness and publicity to third parties for an operation that returns liquidity to the shareholders without amortizing shares.
