Med Playa Management absorbe tres filiales y las disuelve sin liquidación

The Official Gazette of the Mercantile Registry publishes this Wednesday, October 14, 2026, the announcement of the merger by absorption through which Med Playa Management, S.L.U. integrates Viajes Holidaysinspain.com, S.A.U., Efimatica Assessorament Informatic, S.L.U., and Mediterranean Hotels Entertainment, S.L.U., companies that will be dissolved and extinguished without the opening of liquidation proceedings. The agreement was adopted by the sole shareholder of the absorbing company on October 8, 2026, based on the common merger project signed on June 30, 2026, by the administrative bodies of the four participating companies. The announcement is published in the Second Section of bulletin number 198, dated October 14, 2026, under announcement number 5435 and official reference BORME-C-2026-5435.

The operation is supported by Article 10 of Royal Decree-Law 5/2023, of June 28, on structural modifications of commercial companies, and is executed in accordance with the provisions of Article 53.1 and, by referral of Article 56.1, of the same regulation. The absorbing company acquires the entirety of the assets of the absorbed companies and succeeds universally in all their rights and obligations.

The intervening companies and their tax identifications are as follows:

  • Med Playa Management, S.L.U., absorbing company, with NIF B-17.076.886.
  • Viajes Holidaysinspain.com, S.A.U., absorbed company, with NIF A-17.792.318.
  • Efimatica Assessorament Informatic, S.L.U., absorbed company, with NIF B-55.060.420.
  • Mediterranean Hotels Entertainment, S.L.U., absorbed company, with NIF B-55.232.854.

A hotel group integrating its subsidiaries

The merger culminates a process of corporate concentration within the Med Playa group, whose equity vertex is Med Playa Hotels, S.L., a company that appears as the sole administrator of several of the participating companies and which already underwent a partial financial spin-off of majority stakes in other commercial entities in 2025 (reference BORME-C-2025-4689, of August 6, 2025).

Registry records confirm the previous link of the absorbed companies to the group. Viajes Holidaysinspain.com, S.A. declared its status as a single-member company with Med Playa Hotels, S.L. as the sole shareholder (reference BORME-A-2024-106-29, of June 4, 2024), while Mediterranean Hotels Entertainment, S.L.U. was incorporated in 2015 with Med Playa Management, S.L. as the sole shareholder, address at Paseo General Mendoza 1 6 in Girona, capital of 3,000 euros, and corporate purpose focused on the provision of entertainment, animation, and party services to tourist establishments (reference BORME-A-2015-87-17, of May 11, 2015).

Dissolution without liquidation and universal succession

The merger involves the dissolution of the three absorbed companies and the bulk transfer of the entirety of their respective assets to Med Playa Management, S.L.U., which acquires them by universal succession. The absorbed companies are extinguished without any liquidation procedure being opened, meaning there will be no liquidator phase nor distribution of liquidation quotas among the partners.

The announcement identifies Med Playa Hotels, S.L.U., represented by Francisco Javier Arús Castillo, as the sole administrator of Med Playa Management, S.L.U., Viajes Holidaysinspain.com, S.A.U., and Efimatica Assessorament Informatic, S.L.U. In the case of Mediterranean Hotels Entertainment, S.L.U., the sole administrator is Med Playa Management, S.L.U., also represented by Francisco Javier Arús Castillo. The announcement appears signed in Girona and Málaga on October 9, 2026.

Rights of partners, creditors, and employees

In accordance with Article 10 of the regulation, the announcement expressly states the right of the partners and creditors of the respective companies to obtain the full text of the adopted agreement, as well as the merger balance sheet. It also records that the documents referred to in Article 46 of Royal Decree-Law 5/2023 have been made available to the employees and their representatives.

The publication in the bulletin constitutes the required publicity channel for the operation to take effect against third parties and be recorded in the Mercantile Registry, without the announcement detailing any consideration, as it is an intra-group merger between a parent company and wholly-owned subsidiaries.

The operation simplifies the structure of the Med Playa hotel group by concentrating the assets of three subsidiaries dedicated to travel intermediation, IT consulting, and hotel entertainment into a single company. For the creditors of the absorbed companies, the announcement opens the way to request the full text of the agreement and the merger balance sheet, while the partners of the absorbing company see the ownership of assets consolidated, which until now were held by three different corporate vehicles.
