MBO convoca junta extraordinaria para ampliar capital en 3,7 millones de euros

The Board of Directors of MBO, S.A. has called an extraordinary general shareholders’ meeting for October 27, 2026, in order to approve an increase in share capital in the amount of 3,700,056.50 euros through cash contributions. The notice is published in the Official Gazette of the Mercantile Registry (BORME) number 184, dated September 23, 2026, in the Second Section of announcements and legal notices, under the official reference BORME-C-2026-5112.

The company, registered under registry sheet S 8, H M 69442, has accumulated several capital operations in recent financial years, positioning this new expansion as the fourth relevant modification of its capital figure since 2024. The agreement was adopted by the administrative body and is now submitted for the approval of the shareholders, who must also rule on the modification of the statutory article relating to the share capital figure.

Notice and place of meeting

The meeting will be held at the registered office of the entity, located in Madrid, Ayala Street, no. 10, 4th floor left, according to the following schedule:

  • First call: October 27, 2026, at 5:00 PM.
  • Second call, in the event that the statutorily required quorum is not reached: October 28, 2026, at 5:00 PM, at the same location.

The notice was signed in Madrid on September 21, 2026, by the Secretary of the Board of Directors, Vicente Martín Abad, and includes the identifier A260040570-1.

An expansion with preferential subscription rights

The first item on the agenda contemplates the increase in share capital by 3,700,056.50 euros through cash contributions, with full recognition of the preferential subscription right in favor of all current shareholders, in exact proportion to their respective share in the share capital. The agreement also includes the modification of the statutory article corresponding to the share capital figure and the delegation to the Board of Directors of the powers provided for in article 297.1.a) of the Capital Companies Law (LSC).

Shareholders may examine at the registered office the full text of the proposed statutory modification and the justifying report required by article 286 of the LSC, as well as the rest of the documentation required by articles 287 and concordant articles of the same regulation.

The four items on the agenda

  • First. Increase of share capital by 3,700,056.50 euros through cash contributions, with preferential subscription rights, statutory amendment, and delegation of powers pursuant to Article 297.1.a) of the LSC (Capital Companies Act).
  • Second. Delegation of powers for the formalization, notarization, and registration of the resolutions adopted.
  • Third. Other business and questions.
  • Fourth. Drafting, reading, and approval of the meeting minutes or appointment of scrutineers pursuant to Article 202 of the LSC.

Company Capital Background

The operations previously registered by MBO, S.A. in the BORME depict a trajectory of continuous reinforcement of its own funds:

  • June 12, 2024: capital reduction of 6,262.42 euros and simultaneous increase of 1,000,003.90 euros, resulting in a capital of 1,501,670.62 euros.
  • December 26, 2025: increase of 500,001.95 euros, resulting in a capital of 2,001,672.57 euros.
  • June 4, 2026: increase of 3,000,005.69 euros, resulting in a capital of 5,001,678.26 euros.
  • August 29, 2023: statutory amendment of Article 2 to expand the corporate purpose to holding company activities.

The new increase, if approved, would be added to this sequence and would require the corresponding registration in the Mercantile Registry once the resolutions have been notarized.

The operation is relevant to the shareholders because the preferential subscription right allows them to maintain their percentage of ownership and avoid dilution, provided they participate in the increase in proportion to their current holding. The set schedule—October 27 and 28—and the documentation available at the registered office mark the practical deadlines for deciding on the subscription.
