Majorica spins off its production unit into a new company in Manacor

The spin-off is published in the Official Gazette of the Commercial Registry

On 17 August 2026, the sole shareholder of Majorica Internacional, S.L.U. —referred to as the “Spun-off Company”— and of Manufactura Majorica Manacor, S.L.U. —referred to as the “Beneficiary Company”— approved the partial spin-off of the former in favour of the latter, with the consequent transfer as a block by universal succession of the economic unit corresponding to the pearl production and jewellery manufacturing activity. The transaction was published the following day in the Official Gazette of the Commercial Registry (BORME) number 158, of 18 August 2026, in Section Two —Announcements and legal notices—, under number 4755 and the official reference BORME-C-2026-4755 (p. 5942).

Legal basis and background of the process

The publication is made under Article 10 of Royal Decree-Law 5/2023, of 28 June, which transposes into the Spanish legal system the European Directives on structural modifications of commercial companies. According to the announcement, the draft spin-off terms were formulated on 30 June 2026 by the management bodies of both companies, and the final approval by the sole shareholder was adopted just over seven weeks later, on 17 August.

Article 10 of RDL 5/2023 requires the publication of spin-off resolutions so that shareholders and creditors of both entities may obtain the full text of the resolutions adopted and of the approved spin-off balance sheets, thereby ensuring the protection of their interests.

The new company: Manufactura Majorica Manacor

Manufactura Majorica Manacor, S.L.U. was incorporated and registered in the Commercial Registry of Palma de Mallorca prior to the spin-off, according to data from the BORME of 1 July 2026 (BORME-A-2026-124-07). The registration details of the new entity are as follows:

• Commencement of operations: 18 June 2026.
• Corporate purpose: pearl production, jewellery, costume jewellery items and gift items, as well as the marketing of said production.
• Registered office: C/ Argenters 77, Polígono Industrial de Manacor, in Manacor (Illes Balears).
• Share capital: €3,000.00.
• Sole shareholder: Majorica Manacor Holding, S.L.U.
• Sole director: Majorica Manacor Holding, S.L.U.
• Registration details: S 8, H PM107659, I/A 1 (25.06.26).

The declaration of single-shareholder status was simultaneous with the incorporation, confirming that it is a wholly-owned subsidiary of the group.

Signatories of the announcement and electronic verification

The announcement signed in Mallorca on 17 August 2026 is signed by a single person acting on behalf of both companies: Mr. David Avilés Herrera, who acts as chairman of the board of directors of Abordador Capital, S.L.U. (holder of the position at Majorica Internacional, S.L.U.) and, at the same time, as the natural-person representative of Majorica Manacor Holding, S.L.U. (sole administrator of Manufactura Majorica Manacor, S.L.U.). The electronic identifier of the announcement is A260036095-1, verifiable at https://extraboe.boe.es/arde.

Relevance to the Balearic jewellery sector

The transaction constitutes a vertical reorganisation of the Majorica group, a benchmark brand in the Balearic Islands in the cultured pearls and jewellery sector, by separating the manufacturing and physical production unit from its parent company into a specialised company. Manacor, a municipality in southeastern Mallorca with a deep-rooted tradition in the artisanal manufacture of jewellery and pearls, will host the new operational headquarters. This demerger fits in with the trend among companies in the sector of separating their industrial business from their commercial business, enabling more agile production management and a potential opening of the new entity’s capital to strategic investors in the jewellery sector.
