Líneas del Litoral reforms its corporate purpose for the Yacyretá tender.

Líneas de Transmisión del Litoral S.A. was transformed into Líneas de Transmisión del Litoral S.A.U. and reformed its corporate purpose to participate in the International Public Tender for the Second Section of the Transmission System Associated with the Yacyretá Hydroelectric Power Plant. The decision, adopted by shareholders’ meeting, was published on August 14, 2026, in the Second Section of the Official Gazette of the Argentine Republic, under notice No. 57141/26.

The notice, identified by CUIT 30-67909599-0, compiles three corporate decisions. The Ordinary General Meeting of July 8, 2026, accepted the resignation of alternate director Hilario Magliano and appointed Martín Fernández Dussaut in his place. The Extraordinary General Meeting of July 24, 2026, approved the change of corporate name and the reform of the bylaws, in particular its third article.

A corporate purpose designed for Yacyretá

According to the published bylaw text, the company’s purpose shall be to construct, operate, maintain, and provide electricity transmission services for the Second Section of the Transmission System Associated with the Yacyretá Hydroelectric Power Plant, in the province of Corrientes. In particular, it may submit a bid in the International Public Tender for the award of the construction, operation, and maintenance contracts for that section, and enter into the Electroduct Contract with the Special Unit for the Yacyretá Transmission System (UESTY). The bylaws refer, for definitions, to Article 1.4 of the Bidding Terms and Conditions.

The reform also broadens the company’s horizon: it may operate and maintain third-party electric power transmission facilities, with prior approval from ENRE (National Electricity Regulatory Entity), provide engineering, advisory, and consulting services related to electricity transmission in the country and abroad, and market telecommunications services in accordance with current regulations.

The activities it may undertake

The new third article of the bylaws lists five categories of activity:

  • Construction: execution of public and private works related to the corporate purpose, including maintenance and repair of infrastructure.
  • Services: operation and maintenance in accordance with the Electroduct Contract and current regulations.
  • Commercial: purchase, sale, lease, import, export, distribution, and exchange of goods related to the corporate purpose.
  • Financial: loans, credits, operations with financial instruments, and issuance of debentures or negotiable obligations, excluding operations reserved by Law No. 21,526 and subject to the regimes of Laws No. 23,576 and No. 23,962.
  • Mandates: representations and mandates related to the corporate purpose.

A renewed board of directors

The Ordinary and Extraordinary General Meeting of July 24, 2026 appointed five regular directors and three alternate directors, all with special domicile established in the City of Buenos Aires:

  • President: Ignacio Javier Layús.
  • Regular directors: Eduardo Maggi, Norberto Bruno, Fernando Mariano Barreto and Jorge Juan Sandro Agnelli.
  • Alternate directors: Tomás Napadensky, Juan Moine and Martín Fernández Dussaut.

The signing of the notice was carried out by Diego Manuel Allegue, authorized under the private instrument of the partners’ meeting of July 24, 2026 (T° 82, F° 451, C.P.A.C.F.).

The conversion into a single-member corporation and the expansion of the corporate purpose leave Líneas de Transmisión del Litoral in a position to compete for the second transmission segment associated with Yacyretá, a project that will strengthen electric power transportation for the Litoral system and the province of Corrientes. With the corporate structure and the board of directors already defined, the company is enabled to move forward with the international bidding process called by the system agency.
